About The Position

CAI is seeking an organized and detail-oriented corporate Governance Administrator with experience in contract reviews, research, and analysis to join its Governance, Risk & Compliance team. The successful candidate will be responsible for managing and coordinating the review and negotiation process for a range of contracts including Requests for Proposal (RFPs), Master Service Agreements (MSAs), Statements of Work (SOWs) and Non-Disclosure Agreements (NDAs) and for providing legal support to ensure adherence to company policies and applicable laws. The ideal candidate will have experience in governance and compliance within a corporation that provides IT services to commercial and public entities. This position will be full-time and remote. Requirements

  • Associate degree in paralegal studies or a related field
  • Minimum of 3 years of experience in contract review and negotiations, particularly with RFPs, MSAs, SOWs, and NDAs
  • Previous experience related to corporate governance and compliance
  • Proficiency using legal research tools and contract management software
  • Some writing experience to go along with the contract research and analysis
  • Excellent organizational skills with the ability to manage multiple tasks simultaneously and meet tight deadlines
  • Strong written and verbal communication skills
  • Ability to work independently and collaboratively in a fast-paced environment

Nice To Haves

  • Bachelor’s degree in a related field
  • Paralegal certification from an ABA-approved program
  • Knowledge of privacy laws, intellectual property rights, corporate governance, and IT-specific regulatory compliance is beneficial

Responsibilities

  • Draft, review, and negotiate a variety of contract documents, including RFPs, MSAs, SOWs, NDAs, terms and conditions, and other legal documents in support of the company’s business operations
  • Meet deadlines and prepare documents according to established guidelines
  • Work collaboratively with cross-functional teams, including sales, finance, and operations, to gather information needed to successfully complete contract reviews
  • Conduct legal research and analysis related to contract law, governance, and compliance
  • Identify legal risks and provide guidance on mitigation strategies
  • Maintain an organized filing system for all contract-related documents, both electronically and in paper form when necessary
  • Assist with the development of contract templates and standard clauses to streamline the contract review and response processes
  • Liaise with counsel as required
  • Provide training to team members on contract processes, governance, and compliance matters
  • Stay up to date with changes in laws and regulations that may affect contracts, governance, and the company’s operations in the IT sector
