About The Position

Dymax, part of the BCE Holding family of brands, is seeking a results-focused, innovative, self-driven, and well-qualified individual to join their talented team as their General Counsel. In this role, you will safeguard and enable enterprise growth across BCE companies by directing global legal, compliance and EHS strategy, risk management, and governance across the BCE enterprise; leading an in-house team and outside counsel; standardizing contracts and intellectual property (IP) protection; stewarding subsidiary/entity affairs; and advising the Chairman/Board on material legal, compliance, EHS, and transaction risks, remedies, and controls.

Requirements

  • Juris Doctor (JD) required; active license in a US jurisdiction, with eligibility to practice in principal operating locations
  • 15+ years corporate legal practice
  • 8+ years in-house with multinational scope; experience leading attorneys/paralegals and managing outside counsel across jurisdictions; exposure to chemical engineering businesses and equipment/technology contracting preferred
  • Commercial contracting (incl. service, MSAs, and equipment), corporate governance/subsidiary management, IP strategy, disputes/litigation, ABAC, trade controls/sanctions, competition, privacy; contract management and eDiscovery fluency; inter-company and related-party governance
  • Business-first judgment; concise Board communication; negotiation to closure; policy design and implementation; matter/budget management; cross-cultural influence; change leadership

Responsibilities

  • Set global legal strategy aligned to enterprise growth, risk appetite, and values by translating priorities into policies, playbooks, and guardrails; defining approval thresholds; sequencing initiatives across regions and entities; and measuring impact via matter, cycle-time, and risk KPIs.
  • Lead and develop an in-house legal team and outside-counsel by directing attorney and paralegals, setting goals and standards; coaching and reviews; overseeing local firms and alternative legal services, and enforcing fee arrangements and service levels
  • Direct corporate governance and entity management across BCE companies by coordinating Advisory Board agendas and minutes, maintaining subsidiary records and authorizations, ensuring filings and powers of attorney, managing inter-company and related-party approvals, and validating director/officer duties
  • Standardize global commercial contracting and channel frameworks by issuing templates, clause libraries, and fallback positions for sales, procurement, distribution, OEM, and licensing; defining escalation criteria; and reducing cycle time while strengthening risk posture
  • Protect and monetize intellectual property across brands, products, and services by setting filing and maintenance strategies, advising on patent-clearance for new products and processes, prioritizing enforcement, managing NDAs and restrictive covenants, and aligning IP roadmaps with business plans
  • Govern global compliance for bribery, trade, controls/sanctions, competition, and data privacy by setting clear standards and oversight, advising the business on legal and regulatory requirements, escalating material issues and suspected violations, and partnering with business leaders to ensure effective training, implementation and corrective actions.
  • Lead dispute, investigation, and litigation strategy to optimal business outcomes by triaging claims, setting matter strategy and reserves with Finance, directing investigations, negotiating settlements, and reporting exposure and options to the Director and Chairman
  • Guide strategic transactions, carve-outs/roll-ins, and partnerships by running legal due diligence, negotiating definitive agreements, coordinating regulatory clearances, structuring transitional or shared-services agreements between BCE companies, and embedding post-close controls into operating rhythms
  • Strengthen policy, records, and contract-lifecycle control across functions by issuing records-retention and legal-hold standards, deploying CLM workflows/approval gates, auditing adherence, and reporting control health and remediation timelines to leadership
  • Strengthen corporate compliance and EHS by establishing global corporate compliance and EHS frameworks that reduce regulatory risk and incident frequency; standardizing policies, controls, and audit protocols. Integrating performance metrics into operations and ensuring timely identification, reporting, and remediation; and a sustained improvement in safety and compliance across all regions.
