Requirements

  • Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar.
  • 6 - 10 years of legal experience, with a meaningful portion spent in-house at a SaaS or technology company.
  • Prior experience as a General Counsel, Deputy General Counsel, or Associate General Counsel at a mid-market SaaS company ($100M–$500M revenue).
  • Demonstrated experience in a PE-backed or sponsor-backed operating environment, including M&A transaction support.
  • Deep expertise in commercial SaaS contracting, including complex enterprise agreements and multi-product deal structures.
  • Working knowledge of data privacy frameworks (SOC 2, CCPA/CPRA, COPPA, GDPR concepts) and experience building or managing a compliance program.
  • Proven track record of building, leading, and developing a legal team.
  • Ability to operate as both a strategic advisor and a hands-on practitioner in a lean, high-growth environment.
  • Business Acumen: Thinks like an operator, not just an attorney. Understands P&L dynamics, ARR metrics, and SaaS unit economics.
  • Executive Presence: Communicates with clarity and confidence to the Board, PE sponsors, and cross-functional executives.

Nice To Haves

  • Experience working with faith-based organizations or nonprofit customers is a meaningful plus but not required.
  • Experience supporting add-on acquisitions and post-merger integration from the legal side.
  • Familiarity with the faith-based, nonprofit, or association technology sector.
  • Working knowledge of the Fair Credit Reporting Act and related background screening regulations.
  • Background that includes time at a top-tier law firm in technology transactions, M&A, or corporate practice.

Responsibilities

  • Serve as the primary legal advisor to the Sr. Leadership Team, Board of Directors, and PE sponsor on all corporate, transactional, and operational legal matters.
  • Develop and execute a legal strategy that supports the company’s growth plan, including organic scaling, tuck-in acquisitions, and potential platform-level transactions.
  • Proactively identify legal risks and provide commercially oriented counsel that enables the business to move quickly and confidently.
  • Lead legal due diligence, negotiation, and execution of acquisitions, divestitures, and other strategic transactions alongside the PE sponsor and its advisors.
  • Manage relationships with outside counsel, ensuring cost-effective and high-quality legal support during deal activity.
  • Support Board governance, investor reporting, and sponsor communication on legal and compliance matters.
  • Own and optimize the company’s contract lifecycle for enterprise SaaS agreements, including MSAs, order forms, SLAs, data processing agreements, and partnership arrangements.
  • Partner with Sales, Customer Success, and Product teams to accelerate deal velocity while maintaining appropriate risk guardrails.
  • Standardize and scale contract templates, playbooks, and approval workflows to support a growing go-to-market organization.
  • Oversee the company’s data privacy and security compliance program.
  • Partner with Engineering and Information Security to ensure product development aligns with evolving regulatory requirements.
  • Build and maintain compliance frameworks that satisfy PE diligence standards and customer audit requirements.
  • Monitor and interpret changes in laws and regulations affecting the Company’s business lines and advise on necessary adjustments.
  • Lead, mentor, and develop a Legal & Compliance team of approximately six professionals, including contracts counsel and compliance analysts.
  • Establish team objectives, KPIs, and professional development plans that align with company goals.
  • Manage outside counsel relationships and the overall legal budget with a focus on efficiency and ROI.
  • Advise on employment law matters including hiring, terminations, compensation practices, employee relations, and workplace policies across multiple states.
  • Oversee corporate governance practices, entity management, and Board-level documentation.
  • Support the development and enforcement of company-wide policies, including a Code of Conduct, anti-corruption, and whistleblower programs.
  • Handle or oversee litigation matters, including employment disputes, FCRA-related claims and other lawsuits.
  • Manage and coordinate with external legal counsel when necessary.
  • Implement tools, processes, and workflows that scale with the business.
  • Own the legal budget and outside counsel strategy and relationships.
