About The Position

The company is seeking an accomplished General Counsel – Corporate & Securities to serve as its top legal executive and strategic advisor to the CEO and Board of Directors. As the first senior legal hire, this leader will establish and oversee the legal function, guiding all aspects of corporate governance, securities compliance, and risk management for a fast-paced, entrepreneurial public company. This role is responsible for advising executive management and the Board on fiduciary duties, governance, and regulatory requirements, while maintaining corporate records and supporting shareholder communications. The General Counsel will lead all public company legal and securities compliance matters, including SEC filings, disclosure obligations, and insider trading policies, ensuring strict adherence to regulatory standards. The position oversees legal execution of capital markets and strategic transactions, such as public and private securities offerings, mergers, acquisitions, and financings. The General Counsel will also draft and negotiate a wide range of commercial agreements, develop standardized legal processes, and advise on contractual risk and commercial strategy. The role also encompasses corporate compliance, litigation management, intellectual property, privacy, and employment law matters.

Requirements

  • J.D. degree
  • Active member of a U.S. state bar
  • At least 8 years of relevant legal experience
  • Significant expertise in corporate and securities law for publicly traded companies
