About The Position

General Counsel, Charlotte, NC (Hybrid) SPAR is seeking an experienced and business-minded General Counsel to serve as the Company's chief legal advisor. This executive leadership role provides strategic legal guidance across corporate governance, employment law, commercial contracts, regulatory compliance, SEC reporting, and enterprise risk management. As General Counsel, you will partner closely with executive leadership and the Board of Directors to protect the organization, support strategic growth initiatives, and ensure compliance within a publicly traded company environment. The ideal candidate combines exceptional legal expertise with practical business judgment and thrives in a fast-paced, collaborative setting.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in North Carolina and in good standing.
  • 8+ years of corporate legal experience, including public company, securities, employment, and commercial law.
  • Strong knowledge of SEC regulations, corporate governance, and public company reporting.
  • Experience negotiating complex commercial agreements and managing legal risk.
  • Expertise in employment law, HR compliance, and workplace investigations.
  • Exceptional business judgment with the ability to balance legal risk and strategic objectives.
  • Outstanding communication, negotiation, and executive relationship-building skills.
  • Proven ability to manage multiple legal priorities in a fast-paced business environment.
  • Experience supporting executive leadership and Boards of Directors.

Responsibilities

  • Serve as the Company's trusted legal advisor to executive leadership and the Board of Directors.
  • Provide practical, risk-based legal guidance that supports business growth and operational excellence.
  • Lead corporate governance activities, including Board materials, resolutions, committee charters, and governance policies.
  • Oversee enterprise legal risk management and coordinate with outside counsel as needed.
  • Advise leadership on employment law, employee relations, workplace investigations, accommodations, wage and hour compliance, and multi-state HR matters.
  • Manage employment litigation, agency investigations, arbitration, mediation, and regulatory matters involving the EEOC, DOL, OSHA, NLRB, and state agencies.
  • Draft and negotiate executive employment agreements, separation agreements, equity incentive documentation, and workplace policies.
  • Lead the drafting, review, and negotiation of complex commercial agreements, including Master Service Agreements (MSAs), vendor contracts, SaaS agreements, licensing, and strategic partnerships.
  • Develop contract standards that protect SPAR's business interests while supporting operational efficiency.
  • Oversee the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
  • Administer insider trading compliance, Regulation FD requirements, and Rule 10b5-1 trading plans.
  • Partner with Finance and executive leadership on corporate governance and public company compliance initiatives.
