About The Position

The Fractional Corporate Legal Counsel will support commercial contracting, governance and compliance matters, privacy and data protection issues, and legal policy review. This role is designed to maximize attorney expertise by focusing on substantive legal judgment rather than administrative legal operations. The ideal candidate is commercially pragmatic, highly responsive, and comfortable operating in a fast-paced, globally distributed environment. In addition, the ideal candidate would have experience working in private equity funded companies on a journey to maturing their contract review processes. The recommended structure for this role positions the attorney as the lead for legal judgment, negotiation strategy, and escalated risk analysis, while operational ownership remains within Legal Operations.

Requirements

Juris Doctor (JD) degree from an accredited law school required.
Active license to practice law in at least one U.S. jurisdiction.
8+ years of relevant legal experience, including commercial contracting and corporate legal advisory work.
Experience supporting global or cross-border commercial operations.
Experience supporting complex commercial negotiations in a consulting, professional services, technology, or multi-entity environment.
Strong understanding of contract law, corporate governance, privacy, and compliance principles.
Experience advising on data privacy, information security, and vendor risk matters.
Ability to balance legal risk with practical business objectives.
Excellent negotiation, communication, and stakeholder management skills.
Ability to work independently in a fractional or highly autonomous environment.

Nice To Haves

Familiarity with contract lifecycle management (CLM) systems.
Experience developing or refining contract playbooks and negotiation standards.

Responsibilities

Lead substantive legal negotiations for client and strategic commercial agreements where the Company is delivering consulting services.
Lead substantive legal negotiations for SaaS subscription agreements where Company is delivering threat intelligence and duty of care services with a strategic partner, including end user license agreements.
Lead development and negotiation of Data Protection Addendums and other privacy related documentation for Company operations and service delivery.
Review and advise on complex contractual provisions, including limitation of liability, indemnification, confidentiality, intellectual property data security, and regulatory compliance obligations.
Support updates to legal playbooks, fallback positions, and contract standards.
Provide legal guidance on escalated or non-standard agreements and business risk decisions.
Review complex IT, software, data processing, and vendor agreements.
Advise internal stakeholders on legal and regulatory risk matters affecting the business.
Provide legal analysis and recommendations related to governance, compliance, privacy, and operational risk.
Support escalated data privacy and information security matters.
Review and advise on corporate policies, governance frameworks, and compliance initiatives to ensure legal sufficiency.
Provide guidance regarding entity governance matters, compliance obligations, and regulatory requirements.
Support ethics, compliance, and internal control initiatives in partnership with Legal Operations leadership.
Partner closely with Legal Operations, Finance, Sales, Procurement, Information Security, and executive leadership teams.
Provide practical, business-oriented legal guidance while balancing operational realities and risk tolerance.
Coordinate with outside counsel on specialized matters when required.
Advise on complex vendor and subcontractor negotiations.
Support acquisition-related NDA review and specialized legal escalations.
Provide limited support on M&A diligence and strategic transactions as requested.
Advise on privacy, cybersecurity, and cross-border legal considerations impacting global operations.
