About The Position

The Chief Legal Officer (CLO) leads the corporate legal department and is responsible for the legal affairs of the enterprise. This role provides legal counsel to the board of directors, board chair, chief executive officer, and other senior leaders. The CLO must demonstrate strong initiative, excellent leadership and management capabilities, and strong business acumen. A Juris Doctor (JD) and an active license to practice law in the applicable jurisdiction are required.

Requirements

  • A Juris Doctor (JD) from an American Bar Association-accredited law school
  • An active license to practice law in the applicable jurisdiction are required.
  • 10+ years of experience directly related to the duties and responsibilities of the role
  • Must be a member in good standing of a state bar or the bar of the District of Columbia.
  • Strong understanding of healthcare laws, including but not limited to, Medicare/Medicaid regulations, the False Claims Act, the Anti-Kickback Statute, and Stark Law compliance
  • Understanding of corporate and business organization laws and regulations
  • Understanding of HIPAA, state consumer privacy laws, and IT/information-blocking regulations
  • Experience in Board relations and complex corporate governance matters and best practices
  • Knowledge of tax-exempt law including expertise in maintaining 501(c)(3) status as well as grant and donor regulations
  • Proficiency in drafting and reviewing complex contracts, including enterprise-wide agreements, vendor contracts, and joint-venture partnership agreements
  • Experience in litigation and dispute resolution, or oversight of such matters, including a knowledge of insurance, risk management, and litigation management
  • Knowledge of current and emerging legal issues and trends within the relevant areas of practice
  • Knowledge of organizational policies and procedures, as well as the regulatory environment in which the organization operates
  • Knowledge of legal documentation procedures and requirements
  • Knowledge of applicable laws and regulations that affect business strategy, policy, and operations
  • Knowledge of community legal resources

Responsibilities

  • Analyze and interpret legal issues and prepare legal opinions
  • Communicate and interact with officials at all levels of government
  • Lead and develop employees, including assigning, prioritizing, and coordinating work
  • Lead and coordinate the work of attorneys, legal support staff, and consultants
  • Evaluate, select, and retain external law firms and legal service providers, ensuring their expertise aligns appropriately with the company's needs
  • Responsibility for legal expense budgeting for the company including negotiating fee arrangements with outside counsel
  • Review legal billing to ensure cost-effectiveness and accuracy
  • Foster a cooperative work environment
  • Develop and implement legal and regulatory strategies and solutions
  • Provide sound legal advice and counsel to senior leaders on a broad range of legal and policy matters
