About The Position

Caterpillar’s Intellectual Asset Management team is hiring an Enterprise Transaction Manager in Peoria, Illinois. The role is responsible for securing intellectual property rights for Caterpillar through robust agreements and advising on risks associated with protecting Caterpillar’s intellectual property and confidential information entrusted to the company by others. The position identifies key intellectual property considerations and protects Caterpillar’s interests in development and license transactions. It negotiates agreements to support Caterpillar’s differentiation and provide customer benefit, leading or participating in deal teams across agreements such as non-disclosure, supplier, joint development, patent or know-how license, and sponsored research agreements. The manager develops deal structures and term sheets, analyzes business cases, and serves as an interface between business managers and corporate attorneys drafting agreements. The role also advises on technical information protection and provides training, advocacy, and consultation to the engineering community on intellectual property protection. It facilitates and manages non-disclosure agreement request workflows, particularly processes related to risk mitigation. The position is based onsite in Peoria, Illinois, five days per week, Monday through Friday. Domestic and international travel of up to 10% is required. Domestic relocation assistance is available; visa sponsorship is not available.

Requirements

Bachelor’s degree in Engineering, a technical field, or Business.
Ability to work independently and be self-motivated.
Excellent communication and collaboration skills at all levels of the organization.
Strong customer focus and ability to work effectively across organizational boundaries.
Ability to travel up to 10% domestically and internationally.
Ability to work onsite five days per week, Monday through Friday.

Responsibilities

Create deal structures and intellectual property terms that meet the needs of all parties.
Prepare executive summaries and/or risk assessments of agreements for signatories.
Interpret legal language accurately and communicate its meaning to the parties.
Suggest wording for or provide redlines to legal documents.
Support timely deal-making and address outstanding issues and concerns with agreement solutions.
Work with intellectual property terms in non-disclosure, joint development, university sponsored research, government contract, consulting, evaluation, and license agreements.
Create intellectual property protection guidance, including enterprise procedures.
Train internal organizations on the value of intellectual assets and the need to protect them; assist business units with intellectual asset protection.
Facilitate and maintain the non-disclosure agreement request workflow, proactively supporting risk mitigation through training and coaching where needed.
Advise on protecting Caterpillar’s technical information and confidential information belonging to others.
