About The Position

Vanderbilt University Medical Center (VUMC) is seeking an attorney with experience advising and providing legal support in contractual matters, with a focus on IT contracting, within a healthcare environment. This position will be dedicated to support in all areas of the healthcare enterprise, involving agreements such as software-as-a-service arrangements and license agreements, equipment/software maintenance and support contracts, general contracting (including supply chain), as well as IT and contract related support for M&A transactions and joint ventures in which the healthcare enterprise may be involved. This position will carry the title of Division Counsel and will work within the Office of Legal Affairs, reporting to a Managing Counsel and the VUMC General Counsel.

Requirements

  • JD degree from an ABA accredited law school.
  • Employment contingent upon State of Tennessee licensure or registration and receipt of In-House Counsel Practice Certificate.
  • The successful candidate must also apply for and become licensed in the State of Tennessee within 12 months of employment or, if earlier, the date required under applicable rules of the Tennessee Supreme Court.

Nice To Haves

  • A minimum of 7 or more years’ experience in transactional legal work involving IT-related matters, with at least three (3) of those years providing legal advice and assistance to healthcare institutions or companies, is strongly preferred.
  • A solid understanding of all aspects of IT contracting, including licensing and intellectual property rights, data use, artificial intelligence, and cybersecurity, as well as federal and state regulatory schemes impacting such areas in a healthcare transactional environment, is preferred.
  • A good negotiator with excellent oral and written communication skills, with the ability to work both independently and as part of a team within a dynamic and fast-paced environment, is strongly preferred.
  • Excellent client management skills, the ability to prioritize competing demands, and the ability to balance risk with organizational goals is preferred.
  • Experience working with and managing outside legal resources is strongly preferred.
  • Experience as legal counsel for a hospital, health system, or a law firm advising a hospital or healthcare company is strongly preferred.

Responsibilities

  • Support the transactional and contracting activities of a large academic medical center, particularly, but not exclusively, with respect to IT matters.
  • Advise clients within VUMC on the relevant regulatory schemes and industry standards involved in contracting and transactional matters.
  • Support the development of various business lines.
  • Monitor changes in relevant regulatory areas and industry trends and provide education on those changes to business and operational personnel and legal affairs teams.
  • Develop and maintain appropriate template agreements to maintain efficiency in contracting where appropriate.
  • Provide support to hospital and subsidiary operations as appropriate.
  • Provide guidance and assistance to other colleagues in the Office of Legal Affairs in a highly collaborative and team-oriented fashion.
  • Participate in departmental call schedule to provide legal advice on urgent patient matters.
