We are looking for an experienced M&A Separation/ Integration Director to join GE HealthCare’s Business Development team. This pivotal role partners with the Business Development and Segment teams to shape and execute on strategic acquisitions and divestitures. This role is responsible for developing and maintaining a consistent, efficient, and comprehensive due diligence, integration and divestiture approach to support GE HealthCare’s portfolio strategy. The main objective of this role is to facilitate the realization of a deal’s value drivers (i.e. acquisition goals), divestitures and other M&A ventures through developing effective structures, robust processes, comprehensive toolsets, and facilitating the consistent use of these by GE HealthCare team members. On integrations/ acquisitions, the Director will be working closely with the GE HealthCare Integration Management Office (IMO) to lead integration strategy and planning, and post-acquisition integration efforts for large & complex global transactions. On divestitures/ carve-outs, the Director will be working closely with the GE HealthCare Separation Management Office (SMO) on day-to-day responsibilities across all phases of the transaction from pre-deal diligence to post-close separation and support activities related to TSA exit. In pre-deal diligence, the Director will support reverse diligence activities including operating model construction, Legal Entity separation planning, drafting of TSA schedules, development of select disclosure schedules, managing separation planning, Day 1 readiness and deal-cutover. In post-close phase, the Director’s responsibilities will include setup of TSA governance and managing TSA exit activities, monitoring key execution and operating metrics and TSA financials.
