About The Position

The Director, Senior Corporate Counsel – Corporate Governance & Securities leads the company’s public company reporting, corporate governance, and securities compliance functions. Reporting to the VP, Associate General Counsel – Corporate Governance & Securities, this role oversees SEC filings, Board and Committee support, governance documentation, and subsidiary management. The Director partners closely with Finance, Internal Audit, HR, Investor Relations, and senior leadership to ensure accurate disclosures and strong governance practices.

Requirements

  • Advanced Degree JD
  • 5-7 years experience
  • Possesses 8+ years of experience practicing law, preferably in a law firm, corporate legal department or relevant regulatory agency (e.g., SEC); or has demonstrated a distinguished record of handling complex matters that correlates to the level of practice experience described in item (1).

Responsibilities

  • Lead the preparation, review, and filing of SEC reports, including Form 10‑K, Form 10‑Q, Form 8‑K, and the annual Proxy Statement
  • Ensure ongoing compliance with NYSE listing standards and evolving securities regulations
  • Advise on securities law matters, including Regulation FD, insider trading compliance, and Section 16 reporting
  • Review and support earnings releases, investor presentations, press releases, and other external disclosures
  • Monitor regulatory developments and assess impact on disclosure and compliance programs
  • Serve as a key advisor to the Board of Directors and its committees on governance matters
  • Prepare and review Board and committee agendas, materials, resolutions, and meeting minutes
  • Support the planning and execution of annual shareholder meetings
  • Assist with shareholder engagement and ESG‑related governance initiatives
  • Provide substantive support to the Corporate Secretary in fulfilling public company governance obligations
  • Draft, implement, and maintain corporate governance policies, committee charters, and internal controls
  • Support executive compensation disclosures and coordination with internal and external advisors
  • Oversee global subsidiary governance, including entity formation, maintenance, and dissolution
  • Ensure compliance with annual filings, organizational documents, and regulatory requirements across jurisdictions
  • Maintain accurate corporate records, legal entity databases, and organizational documentation
  • Manage and develop legal team members, including a Manager, Assistant Corporate Counsel, and Senior Legal Assistant
  • Partner cross‑functionally with Finance, Internal Audit, HR, Investor Relations, and senior executives
  • Handle sensitive matters with discretion while advising executive leadership and the Board
