The Director, Growth and Transition Capital (GTC) is accountable for originating, underwriting, and managing mezzanine debt and equity investments within BDC Capital’s Growth and Transition Capital platform. This role combines deal origination, leveraged finance execution, active portfolio management, and hands‑on value creation. Your work contributes directly to the success of Canadian businesses, in an environment where you can be yourself at work.

Requirements

  • Bachelor’s degree in Finance, Business Administration, or a related field.
  • Minimum 8 years of progressive experience in mezzanine debt, equity, or senior debt financing.
  • Direct experience with transaction origination, underwriting, structuring, and execution of leveraged finance transactions.
  • Demonstrated expertise in cash‑flow lending, senior and junior debt structures, and investment due diligence.
  • Hands‑on experience in portfolio management, including post‑closing monitoring and risk management.
  • Advanced skills in financial analysis, financial modeling, forecasting, valuation, and risk assessment.
  • Proven negotiation and deal‑making capabilities.
  • Demonstrated business development experience with measurable origination results.
  • High attention to detail, accuracy, and documentation quality.
  • Ability to operate effectively in a fast‑paced environment with a high degree of autonomy and ambiguity.
  • Strong written and verbal communication skills.
  • Proven ability to collaborate, influence, and build trust with internal partners, clients, and external stakeholders.
  • Team‑oriented mindset with active participation in peer‑based deal review and portfolio management processes.

Nice To Haves

  • MBA or professional designation such as CPA, CBV, and/or CFA.
  • Professional experience in private equity, mid‑market corporate finance, corporate development, corporate lending, or alternative lending.

Responsibilities

  • Originate mezzanine debt, junior debt, and equity investment opportunities aligned with BDC Capital’s Growth and Transition Capital investment criteria.
  • Evaluate, structure, and underwrite leveraged finance transactions, including cash‑flow lending structures and senior/junior debt.
  • Prepare well‑articulated investment proposals supported by financial modeling, valuation analysis, and comprehensive due diligence.
  • Lead transactions from initial screening through closing, including negotiation of investment terms and documentation.
  • Manage investments post‑closing through to exit, ensuring alignment with approved investment strategy and risk parameters.
  • Proactively develop, implement, and monitor value‑creation plans for portfolio companies throughout the life of the investment.
  • Provide strategic input, operational recommendations, and business introductions to investee company management teams.
  • Leverage internal BDC resources and external partners to support entrepreneurs in achieving growth, transition, and succession objectives.
  • Maintain active oversight of a portfolio of mezzanine and equity investments.
  • Prepare timely and accurate quarterly and annual portfolio reporting, including financial performance, covenant compliance, and risk assessments.
  • Track portfolio company milestones and post‑closing plan execution.
  • Execute portfolio administration activities, including amendments, waivers, repayments, annual reviews, and risk rating updates.
  • Build collaborative internal relationships across BDC to deliver integrated financing solutions using a BDC‑wide approach.
  • Develop and maintain external relationships with entrepreneurs, financial institutions, co‑investors, private equity sponsors, and industry intermediaries.
  • Contribute to the visibility of BDC Capital through proactive business development, networking, and market presence.
  • Develop and execute a personal marketing and visibility plan to support transaction origination.
  • Create and implement a personal development plan to address ongoing professional growth.
