About The Position

This role will assist in furthering the company’s North American business strategies through mergers and acquisitions. The Director M&A Finance heads the finance function of the M&A process and oversees activities of all junior personnel. The Director M&A Finance performs functions with a focus on delivering value to the business through financial due diligence, integration strategy and post-close integration management. The Director M&A Finance is an integral part of the department and helps in shaping the departmental culture and growing departmental performance. The Director M&A Finance duties encompass a significant portion of the merger and acquisition life-cycle with a strong mix of financial, operational and strategic aspects across workforce planning, learning and development, talent management, performance management, organizational change, onboarding, engagement, and reward.

Requirements

  • 8-10 years - M & A, Finance and/or senior level accounting experience – Required
  • Proficient deal analysis, negotiation and execution.
  • Extensive knowledge of accrual accounting concepts, corporate finance, and will also have experience managing a large M&A team through the entire life-cycle of a merger or acquisition transaction.

  • Possess advanced knowledge of Microsoft Office Suite 2007 or later, especially Word, Excel and PowerPoint. Advanced spreadsheet skills are essential.
  • Have knowledge of Google Suite and associated programs frequently used at Rentokil-Terminix
  • Bachelor’s degree, Business (Finance or Accounting) - Required

Responsibilities

  • Assist with modeling and financial analysis of impending and on-going transactions.
  • Financial due diligence - (some travel required) - evaluate trends and integrity of target acquisition financial statements to form a sound basis for the development of our investment model.
  • Plays a strategic role in leading, planning, and executing due diligence activities across finance & banking while understanding and complimenting operations.
  • Larger deals will require engagement with outside advisors retained to assist with diligence and integration.
  • Stay abreast of IFRS and GAAP pronouncements relevant to M&A. Liaise with UK Group accounting regarding the implementation of such policies within North America.
  • Collaborate with business units and functional teams to build strong business cases that align with company objectives and are inclusive of synergistic opportunities and realistic cost forecasts.
  • Significant emphasis on building robust financial valuation models reflecting a detailed business case in order to assess the value creation potential of acquisition, venture or divestment proposals.
  • Support new acquisitions throughout their integration and transition to RNA systems and processes.
  • Translating models to going forward budgets.
  • Coordinate the creation of thorough post-acquisition reviews. Evaluating the success or failure of each acquisition with an emphasis on taking best practices and lessons learned forward.
  • Track and coordinate the calculation and settlement of deferred consideration payments with former ownership / sellers.
  • Track and coordinate the sending of closing and deferred payment wires.
  • In certain situations, the role may require hands-on direction / management of acquired Companies’ financial accounting and reporting functions.
