We are looking for a Director, Corporate Affairs to contribute to the success of ongoing projects. Reporting to the Vice President, Legal Affairs, this position requires a presence at the Quebec City office three days a week.

Requirements

  • Member of the Quebec Bar
  • Bilingual in French and English, with excellent communication skills.
  • Five or more years of relevant experience
  • Excellent analytical, business judgment, and problem-solving skills.
  • Strong business acumen and entrepreneurial spirit.
  • Excellent organizational skills, attention to detail, and ability to prioritize.
  • Proven leadership, with strong persuasion and negotiation skills.
  • High level of autonomy, initiative and collaborative approach focused on teamwork
  • Intermediate knowledge of Microsoft Office (Word, Excel, PowerPoint and Outlook)

Nice To Haves

  • Experience in the context of acquisitions of international companies and groups (an asset).

Responsibilities

  • Actively contribute to acquisition, financing, and strategic partnership files by aligning the group's legal and commercial objectives
  • Oversee corporate secretarial activities for the parent company and its subsidiaries, ensuring compliance with applicable laws and best governance practices
  • Develop, update, and oversee the application of corporate policies and procedures
  • Ensure the implementation and maintenance of export control policies within the group
  • Manage the portfolio of commercial insurance plans to protect the group's assets and operations
  • Administer and oversee stock option and purchase plans in collaboration with stakeholders
  • Collaborate with external counsel for the effective management of strategic legal matters
  • Support the implementation of various operational projects in collaboration with internal and external teams
  • Other duties as assigned
