As a key member of our legal team, the Director, Legal - Capital Markets and Regulatory, provides legal and transactional support for IMCO’s capital markets activities, including derivatives, and is responsible for supporting and advising on a wide range of investment and enterprise regulatory matters. Reporting to the Senior Vice President, Legal, this role will collaborate with partners across various departments within the organization as well as engage with external counsel and other stakeholders outside the organization.

Requirements

  • 6+ years post-call experience gained at a major law firm or as in house counsel practicing securities regulatory law or derivatives law.
  • Legal expertise in derivative transactions is a must.
  • Law degree (J.D. or LL.B.) from an accredited law school.
  • Call to the Ontario Bar and member in good standing with the Law Society of Upper Canada.
  • Excellent legal and business judgment.
  • Excellent written and oral communication and negotiation skills, with the ability to translate technical concepts and conclusions into a language applicable to the targeted audience.
  • Well-established interpersonal relationship-building skills and an ability to work both independently and collaboratively with internal and external stakeholders.
  • Ability and desire to ‘hit the ground running’.
  • Highly motivated team player with a proven ability to manage several different priorities at one time, including under tight timelines.

Nice To Haves

  • Knowledge of securities regulation would be an asset.
  • MBA or CFA designation would be an asset.

Responsibilities

  • Providing legal advice and support on a wide range of legal documentation, including derivative contracts, trading agreements, and brokerage agreements.
  • Providing legal advice and support on a broad range of regulatory matters, including securities regulations, compliance, filing and disclosure requirements, trading activities, and sustainable investing.
  • Staying apprised of, reviewing and analysing regulatory developments and changes and advising internal stakeholders of their impact on IMCO’s investments and operations.
  • Supporting Know-Your-Client (KYC) and Anti-Money-Laundering (AML) processes related to onboarding of counterparties.
  • Collaborating with internal stakeholders, including Front Office, Compliance, and Risk, to develop and implement policies, procedures and best practices to support compliance with both investment and enterprise regulatory requirements and internal controls.
  • Supporting strategic projects for the organization, including managing cross-functional stakeholders.
  • Acting as a trusted advisor to business units to assess and mitigate various legal risks.
