About The Position

The Deputy Chief Compliance Officer serves as a strategic partner to the Chief Compliance Officer in the administration and enhancement of the company's compliance programs supporting Oakworth Asset Management (OAM) and OCB Trust. Acting as the primary backup to the Chief Compliance Officer, this role leads compliance testing, monitoring, and registration activities, supports regulatory filings and examinations, and helps develop policies, procedures, controls, and documentation for new business initiatives. The Deputy Chief Compliance Officer also promotes a culture of fiduciary excellence and regulatory compliance while ensuring adherence to applicable SEC regulations, FINRA rules, fiduciary principles, and trust requirements.

Requirements

  • Bachelor’s degree in business, finance, accounting, law, compliance, risk management, or a related field required.
  • More than 10 years of progressive experience in compliance or risk management within a broker-dealer, SEC-registered investment adviser, or similar financial services organization required.
  • Strong working knowledge of FINRA and SEC rules and regulations, including requirements applicable to registered investment advisers and broker-dealers.
  • Experience with registration processes, regulatory filings, examinations, issue remediation, and compliance program administration.
  • Detail-oriented, accurate, organized, and able to manage multiple priorities and deadlines.
  • Excellent analytical, written, verbal, and interpersonal communication skills.
  • Team focused and able to work collaboratively with business partners, senior leaders, outside counsel, auditors, regulators, and consultants.
  • Ability to exercise sound judgment, maintain confidentiality, and escalate matters appropriately.

Responsibilities

  • Maintain risk-based compliance testing and monitoring processes for OAM and OCB Trust, document results, identify gaps, and recommend corrective actions.
  • Manage registration activities and related records for the organization and applicable associates, including gathering information, preparing documentation, tracking requirements, and supporting required filings.
  • Support new products, services, systems, and other business initiatives by gathering relevant information; researching requirements; and building draft policies, procedures, controls, testing steps, disclosures, and implementation materials for review and execution by the Chief Compliance Officer.
  • Monitor regulatory developments affecting broker-dealers, registered investment advisers, and trust activities, including applicable FINRA and SEC rules, and help incorporate changes into the compliance program.
  • Communicate testing results, monitoring findings, registration matters, and emerging risks to the Chief Compliance Officer and appropriate business partners.
  • Perform periodic compliance testing and monitoring in accordance with the approved compliance plan, including monthly, quarterly, and annual reviews.
  • Maintain organized testing workpapers, evidence, findings, remediation plans, and follow-up documentation sufficient to demonstrate completion and support regulatory examinations or audits.
  • Track identified issues and corrective actions, validate remediation, and escalate overdue or higher-risk matters to the Chief Compliance Officer.
  • Coordinate the collection, review, and maintenance of information needed for registrations, renewals, amendments, notices, and other applicable regulatory filings.
  • Maintain accurate registration records and calendars; monitor deadlines; and communicate upcoming requirements to the Chief Compliance Officer and affected associates.
  • For new projects and business initiatives, gather facts from relevant stakeholders, identify applicable compliance considerations, and build the proposed compliance structure before implementation.
  • Prepare draft policies, procedures, controls, testing plans, training materials, disclosures, and other supporting documentation.
  • Assist with compliance reviews of wealth-specific marketing materials, client communications, disclosures, and related materials.
  • Assist in preparing for internal audits, external audits, and regulatory examinations by organizing requested information, coordinating responses, and tracking follow-up items.
  • Provide practical compliance guidance and training to associates regarding applicable policies, procedures, regulatory requirements, and identified areas of risk.
  • Work collaboratively with Wealth Management, Trust, Operations, Finance & Compliance, outside counsel, and compliance consultants to support an effective and practical compliance program.
  • Monitor current and upcoming regulatory developments and recommend updates to policies, procedures, testing, monitoring, registration processes, and training.
  • Serve as the primary backup to the Chief Compliance Officer for OAM and OCB Trust and provide continuity for assigned compliance activities in the Chief Compliance Officer’s absence or as delegated.
