About The Position

Fluidstack is seeking an experienced Energy Counsel to build the legal and compliance function from the ground up for the largest compute buildout in history. This role will be instrumental in structuring and closing complex energy deals rapidly, managing legal risk from first principles, and advising business leaders as a strategic partner. The legal team operates with insane urgency, reasons from first principles, and aims to make legal a source of speed for the company's ambitious goals in delivering gigawatts of compute infrastructure for AI.

Requirements

Active license to practice law in at least one jurisdiction and ability to meet admission requirements where practice will occur.
Proven experience autonomously structuring, drafting, and negotiating complex commercial agreements as lead attorney against sophisticated counterparties.
Direct experience in areas critical to powering data centers: power purchase agreements, energy supply and hedging, interconnection and transmission, generation development, utility infrastructure and services agreements, or similar.
Demonstrated ability to make sound, commercially pragmatic calls in ambiguous, high-stakes situations.
Experience overseeing outside counsel across multiple disciplines, holding them to a rigorous standard for scope, quality, and spend.
Clear and concise writing and speaking skills to translate dense legal issues into executive-level decisions and next steps.

Experience using AI to improve legal work and efficiency.
In-house experience at a data center developer, cloud company, utility, or independent power producer.

Responsibilities

Structure, draft, and negotiate energy agreements for data center buildout, including power purchase agreements, interconnection and transmission agreements, on-site and behind-the-meter generation, and utility infrastructure and services agreements.
Advise on energy regulatory matters across FERC, state public utility commissions, and organized markets (ERCOT, PJM, MISO, SPP).
Shape engagement with utilities and regulators as gigawatts of load come online.
Run complex negotiations with sophisticated counterparties end to end, balancing legal risk against business speed requirements.
Manage outside counsel across substantive disciplines with rigor on scope, quality, and spend.
Quarterback transactions cross-functionally with energy, site selection, development, and delivery teams.
Advise business leaders as a strategic partner, anticipating legal and commercial issues and providing solutions.
