About The Position

The Counsel position provides legal support and representation primarily in connection with NYCEDC’s construction and commercial property management projects under the guidance of senior attorneys and the General Counsel. This role supports transactional matters, advises internal staff on legal, contractual, and corporate requirements, and undertakes legal research and analysis to advance NYCEDC’s mission.

Requirements

  • Juris Doctor (JD) from an ABA-accredited law school; active admission and in good standing with the New York State Bar required.
  • A minimum of two (2) years of post-law school legal experience in areas such as construction law, contracts, or related fields and interest in construction and contract law.
  • Demonstrated communication skills, with the ability to present legal concepts clearly and concisely.
  • Legal research, analysis, and drafting capabilities.
  • Ability to understand transactional documents and apply legal principles to practical business objectives.
  • Ability to work collaboratively as part of a legal team and with internal clients.
  • Ability to manage multiple assignments, meet deadlines, and follow through on deliverables with appropriate supervision.
  • Demonstrates professional judgment, discretion, and attention to detail.
  • New York City residency is required within 180 days of hire.

Responsibilities

  • Support transactional matters across NYCEDC’s portfolio primarily related to capital and infrastructure construction initiatives by drafting, reviewing, and negotiating agreements such as construction management contracts, service contracts, licenses, permits, consultant and professional services agreements, funding and loan agreements, memoranda of understanding with City agencies related to construction projects and related instruments.
  • Assist with transactions involving real estate and economic development projects, including waterfront, transportation, maritime and related procurement issues.
  • Participate in negotiations with contractors, developers, public agencies, consultants, and other third parties, with supervision as appropriate.
  • Effectively communicate NYCEDC’s legal and corporate policies to internal stakeholders and external parties.
  • Assist in advising NYCEDC staff on legal, contractual, and corporate compliance matters, and support litigation and dispute-related issues in coordination with the New York City Law Department and other City agencies, as needed.
  • Conduct legal research and prepare memoranda, summaries, and analyses on matters of law and policy for senior attorneys and NYCEDC staff.
  • Assist with the preparation and review of materials for the Board of Directors of NYCEDC, as well as other corporate governance matters.
  • Perform additional duties in support of the Legal Services team, including assistance with form agreements, program initiatives, and personnel matters as assigned.
