About The Position

The Corporate Specialist position will report to Campbell Global’s General Counsel and provide support across various departments within the firm. This role involves a wide range of responsibilities including corporate secretarial duties, contract management, real estate transaction support, land use and operational assistance, litigation management, regulatory oversight, governance, legal research, and special projects. The position plays a key role in ensuring compliance and operational efficiency within the Legal Department and across the firm.

Responsibilities

  • Assume primary responsibility for Campbell Global’s Contract Management program, overseeing timely review and delivery of operational and land use contracts and ancillary documents, coordinating with outside counsel and internal stakeholders.
  • Create and maintain corporate minute books and a database of resolutions and corporate organizational documents to ensure compliance with Campbell Global’s regulatory obligations.
  • Monitor and maintain international corporate filings and registrations for both Campbell Global and its client-managed entities.
  • Work with third-party service providers to maintain a state registration and registered agent database, monitoring state registrations for approximately 100 legal entities.
  • Collaborate with outside legal counsel to review and update a full suite of operations contracts and agreements annually.
  • Provide support to the Legal Department in managing arbitration, mediation, and litigation matters, including reviewing and responding to discovery requests and related motions/pleadings.
  • Manage Nondisclosure Agreements (NDAs) and provide timely (within 24 hours) responses.
  • Support the Legal Department in reviewing and responding to requests and redlines.
  • Assist the Legal Department in managing real estate transactions, including reviewing and updating land use templates, performing due diligence, and assisting with acquisition start-ups.
  • Assist with the preparation of data and information required for regulatory filings (e.g., SEC), maintaining proper documentation and files.
  • Support the timely delivery of Form ADV brochures and related documents to new and current clients.
  • Support various Campbell Global departments with procedures for TCOE/Controls and periodic audits, annual reviews of internal Campbell Global policies and procedures, and tracking updates on SCRIBE/CORE.
  • Assist various Campbell Global departments in developing and implementing Campbell Global policies and procedures, including training and monitoring programs for Campbell Global employees.
  • Manage transactional conflicts checks and AML name screening procedures associated with client transactions and related KYC checks/updates.
  • Assist with oversight of Campbell Global’s investment advisor activities to ensure compliance with regulations and internal policies and procedures.
  • Suggest and develop procedures for handling projects to increase Legal Department and Compliance Department efficiencies.
  • Support the Portfolio and Legal Departments in the oversight of client investment mandates and guidelines, and assist with related reporting and deliverables.
  • Prepare routine documents, agreements, and instruments.
  • Draft shareholder and director resolutions and consents.
  • Prepare minutes and other routine corporate secretary documents.
  • Ensure that environmental or financial risk management reporting is conducted in a timely and professional manner to the supervisor and, if appropriate, the local Safety Coordinator.
  • Respond to internal and external information requests in conjunction with management and team members.
  • Actively participate within the organization to ensure all timberland management investment services meet or exceed client commitments.
