About The Position
Axiom is seeking a Corporate Securities Attorney to work with a publicly-traded company onsite in Phoenix, Arizona. This role involves advising the Board of Directors and executive leadership on corporate governance, managing corporate secretarial duties, drafting and maintaining governance documents, supporting public company compliance, and overseeing entity management.
Requirements
- 6+ years of experience in corporate governance, securities, or public company representation
- Strong knowledge of corporate law, SEC regulations, proxy rules, and board governance practices.
- Actively licensed and in good standing in a U.S. state.
Responsibilities
- Advise the Board of Directors and executive leadership on corporate governance matters, including fiduciary duties, board processes, and best practices.
- Corporate secretarial work for a publicly traded company.
- Draft, review, and maintain corporate governance documents, including bylaws, charters, policies, resolutions, and committee materials.
- Support public company compliance obligations, including proxy statements, annual meetings, SEC filings, and disclosure requirements.
- Oversee entity management, corporate records, and subsidiary governance to ensure compliance with applicable laws and internal standards.
