Requirements

Minimum of 5-7 years of experience as a corporate paralegal in a corporate legal department or law firm, with a focus on SEC filings and state registrations
Strong knowledge of federal and state securities laws and regulations
Detailed understanding of corporate governance and related compliance matters
Excellent written and verbal communication skills
Ability to manage multiple tasks and prioritize effectively
Detail-oriented with strong organizational skills
Ability to work independently and as part of a team
Proficiency in legal research tools and software

Nice To Haves

Experience managing corporate governance activities for entities in the United Kingdom, Germany and/or Switzerland
Paralegal certification from an accredited institution
Bachelor's degree in Paralegal Studies, Legal Studies, or a related field

Responsibilities

Prepare and file SEC documents, including Form 8-K, Section 16(a) filings, periodic reporting on Forms 10-Q and 10-K.
Assist with state registrations and compliance, including annual reports and business licenses.
Coordinate corporate governance activities throughout the Autolus group, including subsidiaries in the United Kingdom, Germany and Switzerland.
Maintain and organize corporate records, including minute books, resolutions, and bylaws.
Support corporate transactions, including financings, mergers and acquisitions.
Conduct legal research and provide updates and analysis on various corporate legal matters.
Coordinate with external counsel and regulatory agencies as needed.
