Requirements

  • Minimum of 5-7 years of experience as a corporate paralegal in a corporate legal department or law firm, with a focus on SEC filings and state registrations
  • Strong knowledge of federal and state securities laws and regulations
  • Detailed understanding of corporate governance and related compliance matters
  • Excellent written and verbal communication skills
  • Ability to manage multiple tasks and prioritize effectively
  • Detail-oriented with strong organizational skills
  • Ability to work independently and as part of a team
  • Proficiency in legal research tools and software

Nice To Haves

  • Experience managing corporate governance activities for entities in the United Kingdom, Germany and/or Switzerland
  • Paralegal certification from an accredited institution
  • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field

Responsibilities

  • Prepare and file SEC documents, including Form 8-K, Section 16(a) filings, periodic reporting on Forms 10-Q and 10-K.
  • Assist with state registrations and compliance, including annual reports and business licenses.
  • Coordinate corporate governance activities throughout the Autolus group, including subsidiaries in the United Kingdom, Germany and Switzerland.
  • Maintain and organize corporate records, including minute books, resolutions, and bylaws.
  • Support corporate transactions, including financings, mergers and acquisitions.
  • Conduct legal research and provide updates and analysis on various corporate legal matters.
  • Coordinate with external counsel and regulatory agencies as needed.
