About The Position

Alnylam, a leading biotechnology company, is looking for a Paralegal to join its Legal Department. This role is reporting to the SVP, General Counsel, Governance and Corporate, and is based at the company's headquarters in Cambridge, MA. The Legal Department is looking for a dynamic and experienced paralegal to provide day-to-day support for the attorneys responsible for handling governance, corporate, business development transactions and alliance management, and employment matters. The ideal candidate will have a strong paralegal background and will be flexible, collaborative, and able to manage competing priorities in a fast-paced environment. They will have strong communication and organizational skills.

Requirements

  • Familiarity with legal terminology
  • Proficient with Microsoft Office products (Outlook, Word, PowerPoint, Excel)
  • Ability to effectively and compliantly utilize AI to streamline work activities
  • Superior interpersonal skills with proven ability to successfully interact and collaborate with varied constituencies in a professional manner, exhibiting excellent written and oral communication skills
  • Strong attention to detail
  • Ability to work independently as well as collaboratively as part of a team
  • Ability to handle confidential information with discretion

Nice To Haves

  • Prior paralegal work experience of 5-10 years in a law firm or with in-house legal department preferred
  • Bachelor’s degree preferred
  • Candidate will be a notary public or be willing to obtain a notary public certification at the company’s expense

Responsibilities

  • Conduct Legal research and prepare summaries and updates
  • Assist with preparation of documents and exhibits
  • Assist with materials for various senior level meetings, including Board of Directors and its committees
  • Assist with support of Board of Directors and executive officers (including background information)
  • Assist with creation and maintenance of minute books and other corporate records
  • Assist with a range of projects and be available to coordinate department-wide projects as needed
  • Monitor and update corporate website
  • Assist with the company’s SEC and other public filings
  • Prepare and amend contracts and assist with document signatures
  • Support U.S. subsidiary management
  • Provide support for business development deals including research regarding companies and relevant transactions
  • Assist with Legal’s support of the alliance management function
  • Assist with U.S. employment law matters
  • Obtain and maintain state business registrations and pharmaceutical licenses
  • As needed, assist with complex calendar management, travel arrangements, expense reports and reimbursements
  • Process and edit correspondence, memos, and legal documents, including photocopying, scanning, and redacting information from documents
  • Create, organize, and maintain files and records, both electronic and hard copy as needed, for a variety of legal matters, using the department’s document management systems
  • Work collaboratively with administrative staff to improve office functions and accomplish tasks that involve group efforts.
  • Provide support for other attorneys as needed to cover other staff absences, which may include other duties
  • Manage office-wide functions with minimal supervision
  • Perform other duties as assigned
