Requirements

  • Juris Doctor from an ABA-accredited law school with a distinguished academic record.
  • Three (3) to Six (6) Years of direct experience managing corporate transactions at a sophisticated large law firm.
  • Active Bar License in the state of Texas.
  • Comprehensive understanding of corporate mechanics, capital structures, and entity formation.

  • Specialized experience executing transactions within the traditional or renewable energy sectors.
  • Proven ability to autonomously manage client relationships and lead junior associates on complex deliverables.
  • Exceptional commercial awareness and the ability to translate legal risks into actionable business advice.

Responsibilities

  • Structuring and negotiating primary transaction documents, including asset purchase agreements and merger plans.
  • Overseeing comprehensive due diligence processes and synthesizing findings to identify critical risk allocations.
  • Coordinating with specialist groups such as tax, employment, and intellectual property to ensure holistic deal execution.
  • Advising corporate boards and executive management on fiduciary duties, corporate governance, and strategic defensive measures.
