About The Position

We are seeking an experienced In-House Corporate Counsel to join our Legal department. This is a high-impact, broad-scope role covering corporate and commercial law, financial products and transactions, and regulatory compliance. The successful candidate will act as a trusted business partner to stakeholders across the bank, providing commercially minded legal advice while managing risk effectively.

Requirements

Licensed attorney with a minimum of 8 years’ work experience
Substantive experience in banking and finance law, whether in private practice, in-house, or a combination of both
Strong working knowledge of financial services regulation relevant to a commercial bank
Proven ability to draft and negotiate complex commercial and finance documentation independently
Commercially astute, with the ability to balance legal risk against business objectives
Excellent written and oral communication skills

Nice To Haves

Litigation and Human Resource experience for business entities
Experience working with regulators and managing regulatory examinations or inquiries
People management or team leadership experience

Responsibilities

Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, outsourcing arrangements, partnership agreements, and NDAs
Support M&A, acquisition due diligence and other strategic transactions as required
Maintain and develop the bank's suite of standard form agreements and legal templates
Provide legal support on the structuring, documentation, and execution of banking and financial products including lending facilities, trade finance, and treasury products
Review and negotiate credit agreements, security arrangements, workout agreements
Coordinate with outside counsel on attorney prepared loan documents
Work closely with the General Counsel, relationship managers and product teams to resolve legal issues on transactions in a timely and commercially practical manner
Support regulatory examinations, inquiries, and engagement with supervisory authorities
Partner with the Compliance function to design, review, and update policies, procedures, and training materials
Assess the legal and regulatory impact of proposed business initiatives and new products
Manage and instruct external counsel efficiently, ensuring cost-effective use of outside legal resources
Handle or oversee pre-litigation disputes, demand letters, and escalation matters
Provide practical, risk-balanced legal advice to a broad range of internal clients at pace
