About The Position

We are seeking an experienced In-House Corporate Counsel to join our Legal department. This is a high-impact, broad-scope role covering corporate and commercial law, financial products and transactions, and regulatory compliance. The successful candidate will act as a trusted business partner to stakeholders across the bank, providing commercially minded legal advice while managing risk effectively.

Requirements

  • Licensed attorney with a minimum of 8 years’ work experience
  • Substantive experience in banking and finance law, whether in private practice, in-house, or a combination of both
  • Strong working knowledge of financial services regulation relevant to a commercial bank
  • Proven ability to draft and negotiate complex commercial and finance documentation independently
  • Commercially astute, with the ability to balance legal risk against business objectives
  • Excellent written and oral communication skills

Nice To Haves

  • Litigation and Human Resource experience for business entities
  • Experience working with regulators and managing regulatory examinations or inquiries
  • People management or team leadership experience

Responsibilities

  • Draft, review, and negotiate a wide range of commercial contracts including vendor agreements, outsourcing arrangements, partnership agreements, and NDAs
  • Support M&A, acquisition due diligence and other strategic transactions as required
  • Maintain and develop the bank's suite of standard form agreements and legal templates
  • Provide legal support on the structuring, documentation, and execution of banking and financial products including lending facilities, trade finance, and treasury products
  • Review and negotiate credit agreements, security arrangements, workout agreements
  • Coordinate with outside counsel on attorney prepared loan documents
  • Work closely with the General Counsel, relationship managers and product teams to resolve legal issues on transactions in a timely and commercially practical manner
  • Support regulatory examinations, inquiries, and engagement with supervisory authorities
  • Partner with the Compliance function to design, review, and update policies, procedures, and training materials
  • Assess the legal and regulatory impact of proposed business initiatives and new products
  • Manage and instruct external counsel efficiently, ensuring cost-effective use of outside legal resources
  • Handle or oversee pre-litigation disputes, demand letters, and escalation matters
  • Provide practical, risk-balanced legal advice to a broad range of internal clients at pace
