PROFILE Working with lawyers and under the supervision of the Director, Corporate Services, the incumbent will provide support to associates and partners in their practice and perform various tasks related to corporate law. The incumbent will receive limited direction and guidance; tasks must be performed independently. This is a full-time permanent position.

Requirements

  • 3 years in a similar position 
  • College diploma (DEC) in paralegal technology
  • Bilingual (French/English) required
  • Ability to communicate effectively with other Firm members, with the aptitude to take care of clients’ needs in a professional and courteous manner
  • Capacity to work independently, as well as in a team environment
  • Ability to perform legal research 
  • Knowledgeable about current relevant legislation and government regulations
  • Ability to analyze legal documents for accuracy 
  • Able to prioritize and to redefine priorities when necessary
  • Handle stress in a business-like manner
  • Knowledge of Microsoft Office Suite

Nice To Haves

  • Knowledge of Enact or Athenian software would be an asset

Responsibilities

  • Drafts various resolutions
  • Prepares documents relating to the incorporation, amendment of articles of association, merger, extension and dissolution of companies
  • Prepares documents for operations and restructurings
  • Performs due diligence on minute books and draft reports and corrective resolutions
  • Updates minute book
  • Conducts various corporate searches and prepare forms required for extra-provincial registrations
  • Files documents with regulatory authorities
  • Conducts annual updates of resolutions, reports and statements and other continuous disclosure documents
  • Liaises with client to obtain information, ensure the client is current with the status of their file and to answer, within the assigned authority, any queries/concerns the client may have
  • Communicates directly with service providers and judicial/tribunal officials in connection with the client’s file 
  • Prepares reports on an as needed basis
  • Any other duties as required
