About The Position
Axiom is seeking Corporate Governance Attorneys to work with their publicly-traded client base across multiple industries. This role involves advising on corporate governance matters, supporting public company compliance, and overseeing entity management.
Requirements
- 6+ years of experience in corporate governance, securities, or public company representation
- Strong knowledge of corporate law, SEC regulations, proxy rules, and board governance practices.
- Actively licensed and in good standing in a U.S. state.
Responsibilities
- Advise the Board of Directors and executive leadership on corporate governance matters, including fiduciary duties, board processes, and best practices.
- Draft, review, and maintain corporate governance documents, including bylaws, charters, policies, resolutions, and committee materials.
- Support public company compliance obligations, including proxy statements, annual meetings, SEC filings, and disclosure requirements.
- Oversee entity management, corporate records, and subsidiary governance to ensure compliance with applicable laws and internal standards.
