Requirements

3-6 years of experience as a finance or corporate associate trained in finance transactions.
Substantial experience in lender and borrower representations.
Experience in broadly syndicated credit facilities, acquisition financings, and private credit facilities.
Experience drafting, reviewing and revising credit agreements, debt commitment letters, security agreements and closing deliverables, including secretary’s certificates, resolutions, legal opinions, schedules and exhibits.
Admission to one or more state bars.
Strong academic background.
Superior drafting skills.
Diligence, proactivity, supportiveness, and team orientation.

Nice To Haves

Experience representing private equity sponsors and portfolio companies.

Responsibilities

Represent lenders and borrowers in broadly syndicated credit facilities, acquisition financings, and private credit facilities.
Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables, including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
Manage deals, interact with clients, and oversee work product.
Take on significant responsibility for deal management, client interaction, and work product.
