Our engineers, designers, and strategists cut through complexity to create intuitive products and services that equip federal agencies with solutions to courageously transform today for a better tomorrow. eSimplicity seeks a high-performing Corporate Development Manager to join our growth and M&A team. This role is pivotal in executing our corporate strategy by identifying, evaluating, and executing acquisitions of small to mid-size Government Contracting (GovCon) firms. The ideal candidate possesses a blend of strategic critical thinking, financial rigor, proven success guiding M&A strategy execution, and the ability to navigate the unique landscape of federal procurement and small business transitions. This role follows a hybrid schedule. Employees are required to work on-site Tuesdays and Thursdays, with remote work on other days as business needs allow.

Requirements

  • 4–8 years of experience in Investment Banking, Private Equity, or Corporate Development (GovCon experience highly preferred)
  • Strong proficiency in Excel; ability to build complex valuation and 3-statement models
  • Familiarity with FAR/DFARS, contract types (FFP, T&M, CPFF, CPAF), and set-aside programs
  • Experience developing evaluation criteria and scoring for potential M&A candidates
  • Exceptional writing skills with the ability to summarize complex data into executive briefings

Responsibilities

  • Systematically scan the GovCon market for potential acquisition targets
  • Evaluate companies against eSimplicity’s Acquisition Thesis, focusing on technical capabilities, contract vehicles, customer footprints, and growth potential
  • Monitor industry trends, federal budget shifts, and competitor M&A activity.
  • Conduct deep-dive research on target leadership teams, past performance, and pipeline health.
  • Analyze customer concentration risks and the sustainability of set-aside contract wins.
  • Lead/support the financial modeling process, including valuation (DCF, Precedent Transactions) and pro-forma integration modeling.
  • Support the end-to-end due diligence process across financial, legal, and operational workstreams
  • Draft high-impact outreach communications for eSimplicity executives to engage target CEOs.
  • Maintain the M&A CRM to track all communications, NDAs, and deal statuses.
  • Coordinate introductory meetings and follow-ups between target leadership and eSimplicity executives.
  • Investor Road showing: Identify and pitch to "First-In" investors (Seed VCs, Family Offices, and Strategic PE) who specialize in spin-offs and technical risk.
  • Fundraising & Investor Relations: Lead the preparation and execution of capital raising rounds. You will build the "equity story," create compelling pitch decks, and manage the end-to-end relationship with institutional investors.
  • IP Commercialization Strategy: Evaluate the company’s IP assets to determine their market value and investment potential.
  • Due Diligence Support: Support investor due diligence, coordinating between legal, engineering, and finance teams to ensure a transparent and efficient process.
