The role will report to Deputy General Counsel and be based in Burford’s New York City office. Requirements

  • J.D. or LL.M in Law from an accredited law school and admission to NY Bar.
  • Five years’ experience, which can be prior to or after obtaining a JD or LLM, in transactional work.
  • Knowledge of and demonstrated ability to work in corporate finance; mergers and acquisitions; corporate transactions, including cross-border transactions and transactions governed by common law; restructuring, bankruptcy and insolvency; structuring strategic transactions drafting and negotiating deal documents; client management and direct collaboration with other specialties, such as tax and securities.
  • Must have education in secured transactions.

Responsibilities

  • Responsible for legal finance, corporate and commercial transactions, and a variety of other legal matters relating to operations, corporate structure and governance.
  • Manage and close U.S. domestic and international/cross-border finance transactions
  • Draft and negotiate term sheets; financing, security and intercreditor agreements; nondisclosure agreements; powers of attorney; escrow and control agreements
  • KYC documentation; and various other types of legal documentation.
  • Work with underwriting, tax and finance teams to effectively structure, navigate, negotiate transactions, minimize legal and operational risks.
  • Work on corporate transactions, joint ventures, provide support on company litigation matters and oversee outside counsel.
