The role will report to Deputy General Counsel and be based in Burford’s New York City office. Requirements

J.D. or LL.M in Law from an accredited law school and admission to NY Bar.
Five years’ experience, which can be prior to or after obtaining a JD or LLM, in transactional work.
Knowledge of and demonstrated ability to work in corporate finance; mergers and acquisitions; corporate transactions, including cross-border transactions and transactions governed by common law; restructuring, bankruptcy and insolvency; structuring strategic transactions drafting and negotiating deal documents; client management and direct collaboration with other specialties, such as tax and securities.
Must have education in secured transactions.

Responsibilities

Responsible for legal finance, corporate and commercial transactions, and a variety of other legal matters relating to operations, corporate structure and governance.
Manage and close U.S. domestic and international/cross-border finance transactions
Draft and negotiate term sheets; financing, security and intercreditor agreements; nondisclosure agreements; powers of attorney; escrow and control agreements
KYC documentation; and various other types of legal documentation.
Work with underwriting, tax and finance teams to effectively structure, navigate, negotiate transactions, minimize legal and operational risks.
Work on corporate transactions, joint ventures, provide support on company litigation matters and oversee outside counsel.
