About The Position

Libra Software Group (Libra) is seeking a Corporate Counsel to join its legal team. This role will support the legal needs of the Transportation and Shipping Segment (T&S Segment) within Libra, which includes four businesses operating across various jurisdictions, primarily in North America. The Corporate Counsel will handle a variety of commercial matters for the T&S Segment and collaborate closely with its senior management team. The position reports to the head of legal at Libra. While the office is located in Toronto, the role requires 2-3 days per week in the office, with the possibility of a fully remote work environment for the right candidate based anywhere in Canada.

Requirements

  • Qualified legal professional with 4 to 5 years of relevant legal work experience.
  • Admission to practice law in Canada or the U.S.
  • Knowledge and experience in drafting, negotiating, structuring and advising on various types of commercial contracts and other transactions relating to software licensing and related services.
  • Outstanding critical thinking skills, integrity and written and verbal communication, negotiation and drafting skills.
  • Excellent analytical and problem-solving skills and attention to detail.
  • Team oriented and able to establish relationships with all levels of the organization.
  • Ability to work independently.

Nice To Haves

  • Good overall understanding of intellectual property law and other technology-related legal principles is an asset.

Responsibilities

  • Provide a full suite of legal advisory services to the T&S Segment, including the review and negotiations of a broad range of commercial contracts on behalf of various internal lines of business, such as technology and intellectual property licensing, SaaS, hosting, cloud, professional services, support services and service level agreements, consulting services, leases, purchasing, distribution, reseller, revenue share among others.
  • Facilitate legal entity management and corporate governance related issues and work closely with other regional legal experts who provide legal entity support.
  • Develop, draft and implement appropriate corporate compliance policies and processes.
  • Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of pivotal initiatives and in the ordinary course.
  • Assist where needed on other legal matters from time to time.
