About The Position

Toyota Automated Logistics Americas is seeking a skilled commercial contracts attorney to join our legal team. This role provides legal support to all phases of the procurement and sales processes, including commercial negotiations, customer / vendor onboarding, and long-term contract management. The ideal candidate is not just a contract reviewer; they are a strategic advisor who helps sales win business responsibly. This attorney must be collaborative, solutions-oriented, tech-savvy, and comfortable working in a fast-paced environment with competing priorities. This position will report directly to the Head of Legal, Risk, and Compliance for Toyota Automated Logistics Americas. This role is hybrid with a minimum three days per week in-office required at headquarters, currently located in Carmel, Indiana and soon moving to Noblesville, Indiana.

Requirements

  • Juris Doctor (JD) Degree from an accredited law school
  • License to practice law within the United States
  • 3-7+ years of experience in commercial contracting, preferably with: In-house experience supporting sales or business teams; or Law firm experience with commercial transactions or business litigation

Nice To Haves

  • Strong understanding of contract law, commercial risk allocation, and negotiation dynamics.
  • Excellent communication skills and ability to explain complex legal concepts in simple, business-focused terms.
  • Experience with global data privacy laws, data processing agreements, and data retention protocols.
  • Experience in the material handling, manufacturing, automation, technology, or distribution industries is a plus.
  • Highly organized with strong attention to detail and the ability to manage multiple projects simultaneously.
  • Self-motivated and able to work independently.
  • Proficient in Microsoft Office, Word, Excel, and PowerPoint

Responsibilities

  • Draft, review, and negotiate a wide variety of commercial agreements for Toyota Automated Logistics Americas and its subsidiaries with customers and vendors: Master services agreements, Distribution agreements, Terms and conditions, Statements of work, Data processing agreements
  • Provide practical, risk-informed legal advice that helps the sales team secure deals while protecting the business.
  • Facilitate trainings for sales, procurement, and project operations teams on contract basics, negotiation tactics, and customer / vendor engagement.
  • Develop contract playbooks, standardized templates, and contract management processes to increase efficiency and consistency.
  • Provide legal guidance in other areas as may be requested, including corporate governance, litigation management, employment law, intellectual property, data privacy, compliance, and special projects.
  • Collaborate and work together with other legal colleagues of Toyota Industries Corporation (TICO), Toyota Material Handling North America (TMHNA), Vanderlande Industries, Toyota Industries Commercial Finance (TICF), and Toyota Industries North America (TINA).
  • Other duties and responsibilities as assigned.
