About The Position

Corporate Counsel is a hands‑on legal professional who supports the organization across a broad range of legal, regulatory, and risk matters in a fast‑paced professional services environment. This role partners closely with General Counsel and other senior leadership to provide practical, business‑oriented legal advice, with a particular emphasis on contracting and corporate governance, while helping the firm navigate complex and evolving legal issues across predominantly U.S. and some international operations. This position is based in person in Henderson, Nevada, and requires on‑site presence five days per week. The Corporate Counsel reports to the General Counsel. The ideal candidate embraces technology and AI tools as force multipliers for legal work and is eager to leverage platforms such as Microsoft 365, Copilot, ChatGPT, Claude, and Gemini to drive efficiency and innovation.

Requirements

  • Juris Doctor (JD) from an accredited law schoolrequired
  • Active membership in good standing with at least one U.S. State Barrequired
  • 4–6 years of relevant legal experience in a law firm and/orin‑houselegal role
  • Demonstrated experience with contract drafting, review, and negotiation
  • Demonstrated experience supporting corporate governance activities, including entity management and internal governance matters
  • Experience advising on a wide range of legal issues in a professional services or similarly complex organization
  • Strongproficiencywith Microsoft 365 (Word, Excel, Outlook, Teams, SharePoint)required;demonstratedexperience with AI tools (Microsoft Copilot, ChatGPT, Claude, Gemini) and legal technology platforms (CLM, e-billing, matter management)isstrongly preferred

Nice To Haves

  • Exposure to restructuring, insolvency,fiduciary,orcourt‑mandatedmatters (e.g.,Chapter 11 or receivership proceedings) ispreferred
  • Experience at an AmLaw 100/200 law firm or in-house at areputable professional services, advisory, or consulting firmisstronglypreferred

Responsibilities

  • Serve as a trusted legal advisor to senior leadership on corporate, operational, and regulatory matters
  • Draft, review, and negotiate a wide range of contracts and agreements, including client engagements, vendor agreements, and strategic arrangements
  • Support corporate governance activities, including entity management, board-related matters, and internal governance practices
  • Provide legal support across a broad spectrum of issues, including: U.S. and international employment and operational matters (local laws, taxes, permits)
  • Restructuring‑relatedretention issues, including US Trustee and DOJ interactionregardingserviced Chapter 11 proceedings
  • Fiduciary, expert, and advisory engagement contracting and negotiation
  • NDA drafting and negotiation
  • Manage litigation, disputes, and claims, including coordination with outside counsel
  • Perform legal research and prepare clear, concise written analyses and recommendations for executive audiences
  • Collaboratecross‑functionallywith P&O, Finance, Operations, Matters, Compliance, and other stakeholders
  • Assistwith legal aspects of mergers, acquisitions, and post-acquisition integration activities
  • Support legal aspects of investigations,ediscovery, and Microsoft Purview administration of same
