About The Position

Cedars-Sinai is seeking a Corporate Counsel to join the Department of Legal Affairs (DLA). This role will primarily support real estate, leasing, construction, land use, and environmental matters for Cedars-Sinai properties and facilities, and will also support general healthcare transaction work. The Corporate Counsel will provide legal services and advice on a wide range of matters for Cedars-Sinai Medical Center, Cedars-Sinai Health System, and other affiliates. The position involves analyzing and interpreting relevant law, advising on strategic, operational, and policy matters, participating in enterprise risk management, advising on agreements and negotiation of transactions, and developing an understanding of trends shaping the health care industry. The role requires fostering and maintaining a team-focused approach to legal services and establishing effective working relationships with management, staff, outside counsel, consultants, vendors, and agents.

Requirements

  • Doctor of Jurisprudence (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California and in good standing.
  • Minimum of 5 years of relevant legal experience, with a significant portion focused on healthcare, real estate, leasing, construction, land use, environmental law, or healthcare transactions.
  • Experience advising on complex legal matters and providing practical legal advice.
  • Proficiency in drafting, reviewing, and negotiating various legal agreements and documents.
  • Knowledge of healthcare regulatory matters (e.g., Stark law, corporate practice of medicine).
  • Ability to manage multiple projects simultaneously and prioritize effectively.
  • Strong analytical, research, and problem-solving skills.
  • Excellent written and verbal communication skills, including the ability to prepare clear and concise written guidance.
  • Ability to establish and maintain effective working relationships with management, staff, and external parties.
  • Demonstrated ability to work collaboratively in a team environment.
  • Experience in enterprise risk management is a plus.

Responsibilities

  • Serve as the DLA's representative for Cedars-Sinai initiatives, committees, and task forces, as assigned.
  • Develop and maintain subject matter expertise in substantive areas of law affecting Cedars-Sinai operations and strategy.
  • Interact with outside legal counsel, consultants, and experts.
  • Carry out essential position accountabilities in a timely manner in response to client needs and expectations.
  • Perform all duties in a manner that promotes Cedars-Sinai mission, values, and philosophy and serves as a role model.
  • Provide legal advice, consultation, and policy analysis and interpretations of various areas of law and policy, with a focus on responsiveness and practical advice.
  • Provide research, technical support, analysis, and interpretation to address legal and regulatory questions and issues.
  • Prepare written guidance for executives and other internal clients.
  • Draft, revise, review, and negotiate contracts, governance documents, standard forms, policies, and communications.
  • Develop and maintain a working knowledge of health care regulatory matters, such as Stark law and California law regarding medical practice foundations.
  • Assist in the management of lawsuits, judicial proceedings, arbitrations, and responses to subpoenas.
  • Assist in the supervision and oversight of outside counsel, managing legal fees and expenses.
  • Provide timely legal information as a continuing education resource for Cedars-Sinai.
  • Work closely with and provide legal support to Cedars-Sinai Corporate Integrity Department and other compliance functions.
  • Participate in the implementation of DLA initiatives and work plans, assuming leadership as requested.
  • Complete special projects assigned by senior legal leadership.
  • Serve as supporting counsel on strategic and operational initiatives.
  • Establish effective working relationships with cross-functional teams.
  • Share knowledge, time, and proficiency to assist other team members and Cedars-Sinai management.
  • Cultivate and maintain strong customer relationships and rapport with partners and client groups.
  • Act as a team lead, coordinating work, assigning tasks, and ensuring timely and quality completion.
