About The Position

The Corporate Counsel – Commercial Contracts role involves drafting, reviewing, and negotiating commercial agreements within the logistics and transportation industry. This position requires identifying and assessing legal and commercial risks, providing practical legal guidance, and managing the contract lifecycle. The role also includes advising business stakeholders on various legal matters affecting logistics operations and maintaining contract templates and policies.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Licensed to practice law in Texas.
  • 3+ years of relevant experience in commercial/contracts law (in-house or law firm).
  • Must be eligible to work in the United States for any company in an ongoing capacity without company sponsorship.
  • Must be able to perform the physical requirements of the position.
  • Strong contract drafting, review, and negotiation skills.
  • Sound commercial judgment with a practical, risk-based approach.
  • Ability to manage a high-volume contract workload in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Strong analytical skills and attention to detail.
  • Ability to prioritize and manage multiple matters independently.

Nice To Haves

  • Experience in logistics, transportation, or supply chain industry strongly preferred.
  • Knowledge of freight forwarding and transportation legal frameworks, including bills of lading, Incoterms, and carrier liability.
  • Experience with global or cross-border commercial agreements.
  • Familiarity with compliance, claims, and dispute resolution in logistics operations.

Responsibilities

  • Draft, review, and negotiate commercial agreements, including freight forwarding and logistics service agreements, carrier, broker, warehousing, vendor, and supplier agreements, NDAs, rate agreements, and statements of work.
  • Identify and assess legal and commercial risks, including liability, indemnity, pricing, and regulatory issues.
  • Provide practical, business-focused legal guidance that balances risk with operational objectives.
  • Manage contracts from intake through execution, including approvals, tracking, and record retention.
  • Ensure compliance with contract governance processes and internal policies.
  • Maintain and improve contract templates, playbooks, and standard negotiation positions.
  • Advise business stakeholders and paralegals on legal matters affecting logistics operations, including cargo claims and liability allocation, customs and regulatory compliance, and carrier, agency, and brokerage risks.
  • Identify legal risks and recommend practical mitigation strategies for commercial transactions.
