About The Position

Cedars-Sinai is seeking a Corporate Counsel to join the Department of Legal Affairs (DLA). This role involves providing legal services and advice on a wide range of matters for Cedars-Sinai Medical Center, Cedars-Sinai Health System, and affiliated entities. The Corporate Counsel will analyze and interpret laws, advise on strategic and operational matters, participate in enterprise risk management, negotiate agreements, and stay informed about trends in the healthcare industry. The position requires a degree of independence and will vary in complexity. The Corporate Counsel will also serve as a representative for Cedars-Sinai initiatives, develop expertise in specific legal areas, interact with outside counsel, and ensure timely response to client needs while upholding the organization's mission and values.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California and in good standing.
  • Minimum of 3-5 years of relevant legal experience, preferably in healthcare law.
  • Experience in analyzing and interpreting relevant law.
  • Experience advising on strategic, operational, and policy matters.
  • Experience in enterprise risk management.
  • Experience advising on agreements and negotiation of transactions.
  • Understanding of trends and forces shaping the health care industry in the context of legal requirements.
  • Ability to develop and maintain subject matter expertise in one or more substantive areas of law.
  • Ability to interact with outside legal counsel, consultants, and experts.
  • Ability to carry out essential position accountabilities in a timely manner in response to client needs and expectations.
  • Ability to perform all duties in a manner that promotes Cedars-Sinai mission, values, and philosophy and serves as a role model for the values and mission of the organization.
  • Ability to provide legal advice, consultation, and policy analysis and interpretations of various areas of law and policy.
  • Ability to provide counsel and recommendations based on appropriate research and analysis, with a focus on responsiveness to client needs and providing practical advice on complex legal issues.
  • Ability to provide research, technical support, analysis, and interpretation to address a wide range of legal and regulatory questions and issues.
  • Ability to prepare written guidance for executives and other internal clients.
  • Ability to draft, revise, review, and negotiate contracts, governance documents, standard forms, policies, and communications.
  • Working knowledge of health care regulatory matters, such as Stark Law, California law regarding medical practice foundations, and the corporate practice of medicine.
  • Ability to assist in the management of lawsuits, judicial proceedings, arbitrations, and responses to subpoenas.
  • Ability to assist in the supervision and oversight of outside counsel, exercising good stewardship over legal fees and expenses.
  • Ability to provide timely legal information as a continuing education resource.
  • Ability to work closely with and provide legal support to Cedars-Sinai Corporate Integrity Department and other compliance functions.
  • Ability to participate in the implementation of DLA initiatives and work plans.
  • Ability to complete special projects assigned by senior legal leadership.
  • Ability to serve as supporting counsel on strategic and operational initiatives.
  • Ability to foster and maintain a team-focused approach to the delivery of legal services.
  • Ability to establish and maintain effective working relationships with management and staff at all levels.

Responsibilities

  • Serve as the DLA's representative for Cedars-Sinai initiatives, committees, and task forces as assigned.
