About The Position

The Corporate Counsel owns the contract lifecycle for Industrial Service Solutions, a national industrial equipment services company with over 80 locations and 2,300 employees. This role is the primary attorney responsible for drafting, reviewing, redlining, and negotiating the company's commercial agreements across all business units and service lines. The Corporate Counsel operates with a high degree of autonomy on day-to-day contract matters, reports directly to the General Counsel, and provides additional legal support as needed across corporate, M&A, employment, and litigation matters.

Requirements

  • J.D. from an accredited law school (required)
  • Active membership in good standing with the State Bar of Texas, or eligibility for prompt admission (required)
  • 4-7 years of legal experience, with meaningful contract drafting and negotiation experience gained in-house or at a law firm
  • Prior in-house experience, particularly in industrial services, energy, manufacturing, or a similarly operationally intensive business
  • Experience building or improving contract processes, templates, and playbooks in a growing organization
  • Demonstrated ability to independently manage a full contract workload, including providing in-depth contract review, negotiating directly with counterparties, and closing agreements without significant oversight
  • Experience providing practical legal guidance to business teams in a fast-paced commercial environment
  • Strong working knowledge of commercial contract principles, including indemnification, limitation of liability, insurance, and warranty provisions
  • Ability to work independently and exercise sound judgment in a lean legal department
  • Excellent written and verbal communication skills, with the ability to explain legal concepts to non-legal audiences
  • High volume capacity with strong organizational skills and attention to detail
  • Must be authorized to work in the United States without additional sponsorship for this position

Nice To Haves

  • Experience with CLM platforms (preferred)
  • Familiarity with M&A transaction support, including due diligence and post-closing integration (preferred)

Responsibilities

  • Draft, review, redline, and negotiate a high volume of commercial agreements, including master service agreements, master purchase agreements, customer contracts, subcontracts, NDAs, vendor and supplier agreements, and various other contracts
  • Own the contract lifecycle management (CLM) process, including optimization of CLM tools and workflows and operational compliance monitoring
  • Maintain a library of standard contract templates and fallback positions tailored to ISS's service lines and risk profile
  • Track contract obligations, renewal dates, and key milestones across the organization
  • Serve as the contract-related legal resource for operations, sales, and procurement teams across all ISS locations
  • Educate and train business stakeholders on contract terms, risk allocation, negotiation strategy, and escalation procedures
  • Create practical guides, manage playbooks, and prepare training materials that enable business teams to self-serve on routine contract matters while appropriately escalating higher-risk issues
  • Build trusted relationships with leaders across ISS's nationwide operations
  • Identify and escalate contract risks related to indemnification, limitation of liability, insurance requirements, warranty obligations, and other key commercial terms
  • Support compliance with applicable federal, state, and local laws affecting ISS's service agreements
  • Facilitate contract dispute resolution
  • Assist with legal matters arising from acquisitions, including contract integration and assignment
  • Assist the General Counsel with additional legal matters as needed, which may include corporate governance, M&A support, employment matters, insurance, and aspects of litigation management
  • Contribute to the continued development of the legal department's processes, systems, and capabilities
