About The Position

Stikeman Elliott LLP is seeking a business-savvy lawyer with an analytical and strategic mindset to join our General Counsel Office as Corporate Counsel. The Corporate Counsel supports the General Counsel Office by drafting, negotiating and managing the Firm’s contractual arrangements including client engagement letters, Outside Counsel Guidelines and other service arrangements, and providing day-to-day advisory and compliance support to internal stakeholders. This role offers exposure to a broad range of legal, compliance, and operational matters and is ideal for a lawyer looking to develop experience in overseeing national firm legal affairs.

Requirements

  • Law degree and excellent academic qualifications from an accredited law school
  • Member in good standing of a Canadian law society / bar
  • 3+ years of experience providing corporate commercial/transaction advice in a full-service law firm
  • Experience reviewing commercial contracts
  • Excellent research, drafting, and analytical skills, including ability to review legal contracts and handle negotiations with counterparties
  • Strong communication skills with demonstrated ability to explain complex legal issues in simple, practical and succinct terms
  • Detail-oriented with strong organizational abilities
  • Ability to manage multiple priorities and competing deadlines
  • Strong business acumen and demonstrated good judgment
  • Exceptional interpersonal and relationship building skills

Responsibilities

  • Draft, review, negotiate, manage and interpret a wide range of contractual arrangements including: Client engagement letters and Outside Counsel Guidelines Software and other IT Service Agreements Confidentiality / Non-Disclosure Agreements Event contracts Publication contracts
  • Assist in drafting and updating internal policies and procedures
  • Assist with regulatory filings and reporting requirements
  • Advise on professional responsibility and other compliance matters
  • Assist in responding to client risk management questionnaires
  • Help maintain corporate records and governance documentation
  • Conduct research into changes to the legal industry that impact the firm and provide clear, practical summaries and recommendations
  • Support the firm’s Talent Management teams with advice on employment matters and best practices
