About The Position

365 Retail Markets is seeking an experienced and business-minded Corporate Counsel to join our Legal Department. This role will serve as a key legal advisor supporting a fast-paced technology company at the intersection of SaaS, fintech, payments, and unattended retail. The primary focus of this position is drafting, reviewing, negotiating, and advising on a wide range of commercial agreements while partnering closely with Sales, Product, Operations, Finance, Information Security, and Executive Leadership to help the business achieve its strategic objectives. In addition to commercial contracting, the Corporate Counsel will provide legal support on regulatory compliance, payments, privacy, corporate governance, and other general corporate matters. The ideal candidate combines strong technical legal skills with practical business judgment and a collaborative, solution-oriented approach.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Four (4) to eight (8) years of relevant legal experience in-house and/or with a law firm supporting commercial transactions.
  • Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements.
  • Excellent written, verbal, and interpersonal communication skills.
  • Strong analytical skills and sound legal judgment.
  • Ability to independently manage multiple priorities in a fast-paced environment.

Nice To Haves

  • Experience supporting SaaS, technology, fintech, payments, or software companies.
  • Familiarity with payment processing, financial technology, PCI-related issues, or regulated payment environments.
  • Experience advising on privacy laws and data protection matters.
  • Experience supporting corporate governance and general corporate legal matters.
  • Familiarity with contract lifecycle management (CLM) systems and AI-enabled legal technologies.
  • Experience working closely with sales organizations and revenue-generating business teams.

Responsibilities

  • Draft, review, negotiate, and manage a broad range of commercial agreements, including: Master Services Agreements (MSAs), SaaS Agreements, Hardware Purchase Agreements, Reseller, Distribution, and Channel Partner Agreements, Vendor and Procurement Agreements, Non-Disclosure Agreements, Data Processing Agreements, Payment Processing and Fintech-related Agreements.
  • Provide practical legal guidance throughout the contract lifecycle while balancing legal risk with business objectives.
  • Partner with internal stakeholders to structure commercial transactions and resolve contractual issues efficiently.
  • Develop and maintain contract templates, playbooks, and negotiation guidelines to improve consistency and contract turnaround times.
  • Advise internal business partners on applicable regulatory requirements impacting the Company’s products and operations.
  • Support legal compliance initiatives involving payments, fintech, consumer protection, and related regulatory frameworks.
  • Monitor legal and regulatory developments affecting the business and provide practical recommendations.
  • Advise on privacy and data protection matters affecting customers, vendors, and employees.
  • Review and negotiate privacy-related contractual provisions, including data processing agreements.
  • Partner with Information Security and Compliance teams on privacy, cybersecurity, and data governance initiatives.
  • Assist with corporate governance matters, including maintenance of corporate records, subsidiary governance, board materials, and organizational documents.
  • Support strategic corporate transactions and other general corporate legal matters as needed.
  • Serve as a trusted legal advisor to business leaders across Sales, Product, Operations, Finance, HR, Procurement, and Information Security.
  • Translate complex legal concepts into practical, business-focused advice.
  • Help identify opportunities to improve legal processes through technology, automation, AI tools, and operational best practices.
  • Contribute to the continued development of a collaborative, business-oriented legal department.
