About The Position

Aspida is seeking an experienced Corporate Counsel to join its Legal & Compliance team. This role will support a broad range of investment, corporate governance, M&A, and strategic transaction matters. Just as important as technical legal skills is mindset. We are looking for someone who is genuinely curious, self-motivated, and excited about the ways artificial intelligence is reshaping how legal work gets done. This person will proactively identify opportunities to deploy AI tools to streamline processes, reduce manual effort, and free up capacity for higher-value work — and will bring that same energy to every aspect of the role. This role reports to the Associate General Counsel of Investments and is required to be onsite at our Durham office 3 days a week.

Requirements

  • Juris Doctor from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • Minimum of five years of relevant legal experience at a law firm, or a combination of law firm and financial institution experience.
  • Ability to manage multiple transaction processes simultaneously in a fast-paced environment.
  • Excellent judgment, attention to detail, and ability to identify legal, regulatory, and business risks and provide practical, business-oriented advice.

Nice To Haves

  • Experience representing or working with financial institutions, insurers, asset managers, private equity sponsors, investment funds, or other institutional investors.
  • Familiarity with investment management, private markets transactions, or insurance company investment platforms.
  • Comfort working across legal disciplines, including corporate, transactional, regulatory, compliance, and governance matters.

Responsibilities

  • Provide legal support for structuring, negotiation, and execution of various types of investment and financing transactions, including private equity and private credit investments, fund investments, derivative transactions, loan facility and letter of credit transactions, and other strategic or alternative investment matters.
  • Advise on corporate governance matters, including board and committee processes, entity management, approvals, resolutions, minutes, and corporate records.
  • Coordinate with internal stakeholders, outside counsel, and investment on legal, regulatory, and transactional matters.
  • Assist with the development and maintenance of legal processes, templates, playbooks, and best practices for investment and governance matters.
  • Support special projects and other legal department initiatives as needed.
