About The Position

The Corporate Counsel is responsible for providing practical, solution-oriented legal support to Pall's Aerospace business and North America operations. This role focuses on drafting, reviewing, and negotiating commercial and federal contracting agreements, advising cross-functional teams on legal risks, and developing efficient legal processes to ensure compliance with applicable laws and regulations. This position reports to the Senior Counsel, Aerospace and North America and is part of the Legal & Compliance organization. This role will be located in either New Port Richey, FL or Washington DC and will be onsite.

Requirements

  • JD from a nationally accredited law school with admission to practice before any U.S. state bar.
  • Minimum of 2+ years of experience in a corporate legal department or in private practice with relevant transactional, commercial, and federal government contracting responsibility.
  • Experience in commercial strategy and federal contracts drafting, including identification of material legal, regulatory, and contracting issues, with experience providing risk-based business counsel.

  • Manufacturing industry experience, strong familiarity with contract negotiations.
  • U.S. government contracting, and in particular, supplier flow-down requirements.
  • Developing and improving systems and processes for efficient legal service delivery.
  • Explaining complex legal issues clearly and concisely to technical and non-technical stakeholders at all levels of the organization.
  • Advising cross-functional teams, including technical and non-technical stakeholders.

Responsibilities

  • Provide practical and solution-oriented legal counsel for Pall’s Aerospace business and North America operations, including drafting, reviewing, and negotiating commercial and federal contracting agreements (sales, supply, services, distribution, maintenance, development, technology license, manufacturing, and procurement agreements), while ensuring compliance with applicable laws, regulations, and company policies.
  • Support key organizational strategic initiatives involving Aerospace, North America operations, supply chain, manufacturing, technology development, and customer relationships by identifying legal risks and recommending practical mitigation strategies that align with business objectives.
  • Collaborate with cross-functional business, engineering, operations, and procurement teams to structure, draft, and negotiate commercial and federal contracting agreements, translating technical requirements into contractual language and providing insightful legal advice that balances risk management with practical, business-oriented solutions.
  • Assist senior counsel in advising on high-value transactions, complex risk scenarios, emerging disputes, and due diligence screening on third parties, delivering prompt and pragmatic advice on critical legal and strategic issues.
  • Develop and improve legal processes, contract templates, training materials, and other tools to support efficient legal service delivery and ensure ongoing compliance with federal contracting regulations and evolving legal requirements.
