About The Position

Zekelman Industries is seeking a Corporate Counsel to support the Company's legal department by providing practical legal advice and guidance on a broad range of business matters. This role involves handling commercial contracts, corporate governance, regulatory compliance, employment matters, risk management, and litigation support. The Corporate Counsel will review, draft, and negotiate legal documents, conduct legal analyses and research, partner with internal business units to identify and mitigate legal risks, and assist with strategic legal initiatives. This position serves as a key legal resource to Company leadership, ensuring compliance with applicable laws, regulations, and Company policies.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Active Bar membership in good standing.
  • One to three years of experience in a law firm and/or in-house legal environment.
  • Experience reviewing, drafting, and negotiating commercial contracts.
  • Strong knowledge of corporate and commercial law.
  • Strong legal research, analytical, and problem-solving abilities.
  • Ability to provide practical, business-oriented legal advice.
  • Strong verbal and written communication skills.
  • Ability to build relationships and collaborate effectively with stakeholders across all levels of the organization.
  • Ability to manage multiple priorities and competing deadlines in a fast-paced environment.
  • Ability to exercise sound judgment and maintain confidentiality.
  • Detail-oriented, conscientious, and systematic with a high level of accuracy.
  • Proficiency with Microsoft Office applications and legal research tools.

Responsibilities

  • Leads and promotes healthy and safe work practices as required by regulatory agencies and Company policy.
  • Performs legal analyses and provides practical legal guidance to business units on a variety of corporate, commercial, operational, employment, and regulatory matters.
  • Reviews, drafts, negotiates, and manages commercial contracts, vendor agreements, nondisclosure agreements, leases, licensing agreements, and other legal documents.
  • Identifies legal and business risks associated with proposed transactions and recommends practical solutions to mitigate risk while supporting business objectives.
  • Advises internal stakeholders on compliance with applicable federal, state, and local laws and regulations.
  • Supports corporate governance activities, including legal entity maintenance, corporate records, annual filings, and related compliance requirements.
  • Assists with mergers, acquisitions, financing transactions, commercial real estate matters, and other strategic business initiatives.
  • Monitors legislative and regulatory developments and advises business leaders regarding potential operational impacts.
  • Assists with managing litigation, claims, disputes, and administrative proceedings, including coordination with outside counsel and internal stakeholders.
  • Conducts legal research and prepares memoranda, reports, and other legal analyses for management and business leaders.
  • Collaborates with Human Resources, Finance, Operations, Tax, and other departments to provide timely legal support and guidance.
  • Participates in developing and delivering legal and compliance training programs for employees and management.
  • Supports continuous improvement of legal department processes, document management practices, and risk management initiatives.
  • Manages relationships with outside counsel and other professional advisors as assigned.
  • Supports and mentors less experienced team members.
  • Performs other duties as they might be assigned.
  • Adherence to the hybrid work policy with consistent on-site attendance as required.
