About The Position

The Corporate Counsel serves as a strategic legal partner to the credit union providing expert guidance on legal matters that impact the credit union’s operations. This role supports the Chief Risk Officer (CRO) in effectively managing legal and regulatory risks from a collaborative leadership style that encourages proactive, business-minded legal guidance – balancing precision with operational efficiency. A key focus of this role is driving effective legal work management. Requirements

  • Juris Doctorate (JD) from an accredited law school
  • Licensed to practice law in Texas
  • 5+ years of legal experience, preferably in financial services, banking or credit unions
  • Excellent communication, negotiation, and analytical skills
  • Strong ability to exercise sound judgment when analyzing situations and resolving issues
  • Ability to establish and maintain harmonious working relationships with others and work effectively in a professional team environment
  • Ability to manage multiple priorities in a fast-paced environment with discretion and professionalism

Responsibilities

  • Assess each legal request to determine whether it should be managed internally or outsourced, considering its complexity, required expertise, and whether it can be grouped with related matters or broken into smaller, manageable components.
  • Select the most appropriate service provider for outsourced requests by matching the work’s attributes with provider capabilities to ensure optimal results.
  • Conduct internal preparation before engaging external providers, ensuring that all relevant information, documentation and initial analysis are complete to streamline execution and reduce costs.
  • Continuously improve provider mix and match quality by systematically collecting data on legal requests and analyzing current and future work requirements to enhance efficiency and cost effectiveness.
  • Provide oversight of legal processes related to levies, subpoenas, garnishments, and bankruptcies ensuring timely response, accurate documentation and compliance with applicable laws and internal procedures.
  • Review and approve powers of attorney, guardianship documents, and other member-submitted legal instruments to ensure compliance with applicable laws and internal policies.
  • Review and evaluate internal policies and procedures from a legal perspective to ensure alignment with applicable laws, regulatory requirements, and best practices. Provide recommendations for revisions or enhancements to mitigate legal risk and support operational integrity.
  • Review credit union documents and other correspondence to ensure legally sound and to identify and mitigate potential exposures.
  • Monitor changes in laws and regulations affecting credit union operations and advise on needed policy or procedural changes.
  • Develop internal resources to promote legal awareness and risk-informed decision making.
