Corporate Counsel Lead
About The Position
The Corporate Counsel Lead supports FIS’s legal strategy and operational targets, ensuring legal initiatives align with organizational goals. The role reviews and negotiates complex contracts, including high-value partnerships, vendor agreements, and financial transactions, and contributes to legal training for the legal team and broader organization. The position provides legal research and practical guidance to senior management and stakeholders on complex legal matters, employment law, corporate governance, and evolving industry regulations. It also partners with cross-functional teams to support business initiatives and foster a legal-aware culture.
Requirements
- J.D. and active membership in at least one state bar.
- Strong communication, research, writing, and analytical skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Experience dealing with large, complex transactions.
- Ability to prioritize and efficiently manage multiple projects in a fast-paced business environment and drive complex projects to completion.
Nice To Haves
- 5–7 years of relevant prior experience within a trust company and/or technology company is strongly preferred.
Responsibilities
- Review a wide range of contracts to ensure terms are favorable, compliant, and aligned with organizational objectives, and lead contract negotiations.
- Conduct legal research on complex issues to support informed decision-making by senior management.
- Advise on employment law matters, including contract drafting, termination, and labor-law compliance.
- Implement systems to enhance corporate governance practices in line with industry standards and legal requirements.
- Analyze evolving laws and regulations relevant to the industry and provide timely, practical compliance advice to stakeholders.
- Counsel cross-functional teams and provide legal guidance supporting business initiatives and a legal-aware organizational culture.
- Support legal training initiatives for the legal team and broader organization.
- Help achieve operational targets related to legal strategy in alignment with organizational goals.
