About The Position

As a Corporate Counsel, Global Supply Chain, you’ll be part of our Legal team working as a hybrid employee. You’ll get to provide day-to-day and strategic legal support to the Global Supply Chain function. This attorney will be responsible for drafting, reviewing, and negotiating procurement and supply chain contracts; advising on environmental, health, and safety matters; helping manage supplier disputes; and assisting in drafting, maintaining, and managing policies, procedures, guidance, and training materials related to global supply chain compliance and ESG matters, including responsible sourcing, human rights, forced labor, supplier due diligence, sustainability-related requirements, and other laws and regulations governing global supply chain operations.

Requirements

  • J.D. from an accredited law school and admitted into practice in at least one state.
  • Approximately 7-12 years of relevant legal experience in a law firm, in-house legal department, or a combination of both.
  • Strong experience drafting, reviewing, and negotiating commercial contracts, preferably including procurement, supply chain, logistics, manufacturing, services, technology, facilities, or real estate-related agreements.
  • Working knowledge of legal issues affecting global supply chain operations, including supplier risk, commercial disputes, EHS, trade compliance, customs, sanctions, export controls, and cross-border transactions.
  • Experience managing outside counsel and coordinating local-law advice across multiple jurisdictions.
  • Ability to build strong relationships with business partners, communicate complex legal concepts clearly, and drive practical solutions
  • Demonstrated ability to provide practical, business-oriented legal advice in a fast-paced, matrixed, global environment.
  • Excellent judgment, communication, negotiation, drafting, analytical, organizational, and project management skills.
  • Ability to manage multiple priorities, work independently, collaborate across functions, and escalate issues appropriately.
  • High ethical standards, sound discretion, and ability to handle confidential and sensitive matters.

Responsibilities

  • Review, draft, and negotiate a large variety and volume of agreements, including Master Purchase Agreements, Contract Manufacturing Agreement, Master Services Agreements, SaaS Agreements, Power Purchase Agreements, Non-Disclosure Agreements, and more.
  • Provide practical legal advice on contract structure, negotiation strategy, risk allocation, supplier obligations, indemnities, limitation of liability, insurance, termination rights, business continuity, confidentiality, data security, and compliance requirements.
  • Engage in cross-functional collaboration to support sourcing strategies, supplier onboarding, contract execution, and ongoing contract management.
  • Develop, maintain, and improve contract templates, playbooks, fallback positions, training materials, and contract review processes to promote consistency, efficiency, and appropriate risk management.
  • Assess regulatory developments, implement practical controls, support supplier-facing requirements, and help ensure that internal policies and external commitments are aligned with applicable legal obligations and business practices.
  • Provide training on relevant and pressing legal issues relating to the internal procurement process and policies, as well on applicable laws and regulations.
  • Provide legal support on environmental, health, and safety matters affecting manufacturing, distribution, logistics, facilities, and supply chain operations.
  • Partner with EHS, operations, facilities, and compliance teams to support risk assessments, incident response, audits, investigations, remediation activities, permit-related issues, and implementation of corrective actions.
  • Coordinate with outside counsel and consultants, as appropriate, on specialized EHS matters, regulatory inquiries, enforcement actions, and significant compliance issues.
  • Help translate legal and regulatory requirements into practical guidance that supports safe, compliant, and efficient operations.
  • Draft, maintain, and manage policies, procedures, guidance, playbooks, contract standards, and training materials related to global supply chain compliance and ESG matters, including responsible sourcing, human rights, forced labor, supplier due diligence, and other applicable laws and regulations.
  • Advise business partners on relevant legal issues and appropriate contract structure to support compliance with applicable supply chain, trade, customs, EHS, human rights, and ESG requirements.
  • Collaborate with various functions to assess regulatory developments, implement practical controls, deliver targeted training, and support supplier-facing requirements.
