About The Position

Amazon is seeking a Corporate Counsel to join its Global Subsidiaries Legal team, focusing on the Americas region. This role requires expertise in corporate law, compliance, risk identification, and entity governance to manage the formation and maintenance of Amazon's subsidiaries. The position involves strategic assessment of business needs, risk evaluation, and legal issue identification for new entity formations and complex corporate restructurings. Collaboration with internal stakeholders and external counsel in foreign jurisdictions is key, as is the utilization and development of AI tools for team innovation. The primary focus is serving as the go-to corporate law expert for the Americas region, driving entity maintenance, formations, and restructurings, while advising business clients and assessing risk. The Global Subsidiaries Legal team manages corporate governance, compliance, and restructuring activities across a complex, multi-jurisdictional landscape. This is a high-impact individual contributor role.

Requirements

  • Juris Doctor and membership in one state bar or equivalent
  • 5+ years of post bar admission legal experience
  • Experience with AI/ML technologies
  • 5+ years of Corporate Law or legal compliance experience

  • Experience managing multiple internal stakeholders and advising cross-functional teams
  • Experience in Global subsidiary governance/legal compliance
  • Experience leading cross-functional projects and managing large, complicated programs
  • Experience influencing multiple stakeholders and leading cross functional teams across geographies and business units
  • Experience working on corporate activities, including formations, M&A transactions, venture entities, and investment deals

Responsibilities

  • Serve as the regional lead for the Americas
  • Drive new entity formations and restructurings for business lines across the company
  • Provide risk assessments and legal issue spotting for corporate law matters across multiple jurisdictions
  • Research and advise on corporate law issues
  • Collaborate with stakeholders across the company
  • Work effectively with outside counsel across numerous jurisdictions
  • Use and build AI tools — including prompt engineering, automation of document review & creation processes, and legal research — for application in day-to-day legal work
