About The Position

GT is seeking a Corporate Associate to represent various healthcare practices and private equity firms in selling and acquiring businesses within the healthcare industry. The role involves conducting legal research on healthcare laws, regulations, and policies, and structuring deals to comply with healthcare regulations. The Associate will advise clients on regulatory compliance, including corporate practice of medicine, HIPAA, and other patient privacy acts, as well as other corporate structuring matters. Responsibilities include drafting and negotiating various agreements, conducting due diligence, coordinating with clients and opposing counsels, leading closings, drafting company governance documents, and providing general corporate consultations.

Requirements

  • JD, LLM or foreign equivalent degree.
  • 2 years of experience in position offered or related occupation as an Attorney working on private equity transactions, venture capital transactions and mergers and acquisitions involving health care entities.
  • 2 years of experience advising clients in the health care, pharmaceutical, medical device, and health insurance industries.
  • Participate in cross-border transactions and represent public companies in complex high-stakes transactions (deal sizes in the middle to upper markets).
  • Advise private/public companies, private equity funds and financial institutions regarding M&A transactions within the healthcare industry.
  • Draft Asset Purchase Agreements, Stock Purchase Agreements, and Management Services Agreements.
  • Conduct extensive due diligence process.
  • Conduct legal research on health care laws to ensure transactions are compliant with regulations such as HIPAA and other patient privacy acts.
  • Advise clients on policy and procedures in health care law including ethical standards and safety considerations.
  • Must be admitted to practice law in Florida.

  • Conduct extensive due diligence process and prepare contract review charts.
  • Coordinate with clients and opposing counsels.
  • Lead the closing in various transactions.
  • Draft various company governance documents.
  • Provide general corporate consultations.
