About The Position

Position Overview Reporting to the Head of Contracts, the Contracts Manager is responsible for the end-to-end management and compliance of customer, corporate, vendor, and government contracts. This role acts as a critical liaison between Sales, Marketing, HR, IT, Engineering, Clinical Affairs and Finance to ensure all agreements align with internal policies and broader business objectives. The successful candidate will oversee the full contract lifecycle, ensuring rigorous adherence to federal, state, and local regulations. A primary focus of this position is maintaining SOX compliance and robust internal controls, ensuring all contractual obligations meet the stringent reporting standards required of a public company.

Requirements

  • Bachelor’s degree required; Corporate paralegal background preferred.
  • Minimum of 5-7 years contracts management experience with ability to analyze complex legal concepts and provide business-oriented recommendations that balance company interests with proactive problem-solving.
  • Ability to work proactively, collaboratively and persuasively with internal and external clients to solve problems while protecting company interests.
  • Demonstrated success managing multiple high-priority deals simultaneously under tight deadlines and parallel timelines.
  • Excellent written and verbal communication skills with a commitment to the highest standards of ethics and transparency.
  • Strong leadership skills with proficiency in contract lifecycle management (CLM) tools like Ironclad (preferred) and Salesforce to drive process improvements.
  • Proven track record preferably in the healthcare industry, specifically negotiating with GPOs, IDNs, and large healthcare groups.

Responsibilities

  • Negotiation & Strategy: Negotiate simple and complex customer, commercial, and strategic agreements, including GPO, IDN, Data Privacy/Security, Clinical Study, partnership, and vendor agreements, in a diplomatic manner that protects the company and balances business, financial, and legal objectives.
  • Advisory & Compliance: Keep Legal, Sales, Operations, and Executive personnel apprised of legal and healthcare compliance issues (e.g., AKS/Stark) and negotiated terms, applying a working knowledge of how contract terms impact Revenue Recognition.
  • Complex Problem Solving: Tackle complex problems of broad scope where analysis requires an in-depth evaluation of various factors. Work in collaboration with the Head of Contracts while exercising independent judgment in escalating issues.
  • CLM Optimization: Serve as a power user for the Ironclad CLM; identify opportunities to automate workflows, improve template modularity, and streamline the quote-to-contract lifecycle.
  • Process Improvement: Lead the development, implementation, and communication of process improvements. Enforce existing contracting rules and provide a clear conduit for the resolution of legal questions.
  • Business Integration: Develop and maintain in-depth knowledge of business unit operations and strategic goals, applying this knowledge when drafting and negotiating to ensure contracts support Ceribell’s growth.
  • Workflow Management: Identify significant legal issues in incoming deals and partner with stakeholders to prioritize drafting and review. Manage workflows to ensure contracts are delivered timely and accurately in a fast-paced, changing environment.
