Overview: We are seeking a highly organized and detail-oriented Contracts Manager to join our team. In this role, you will be responsible for managing and overseeing all aspects of contract administration, including negotiation, compliance management, and document review. The ideal candidate will possess strong analytical skills and a thorough understanding of contract law, enabling them to effectively assess and manage contractual obligations. Additionally, you will work closely with the Legal Affairs and Compliance Department to track, update, and manage all contracts, ensuring accuracy, timeliness, and full regulatory compliance across the organization.

Requirements

  • 2+ years of contracts management, paralegal, or other comparable experience in a law firm or legal department or similar environment as a Contracts Administrator or similar position, with experience reviewing, drafting, and negotiating a broad range of commercial contracts.
  • Microsoft Suite proficiency – Word, Outlook, Excel, PowerPoint, SharePoint – if not proficient, must have willingness and drive to train / retrain
  • Highly proficient in the use of Adobe Acrobat Pro
  • Highly proficient in the use of DocuSign or similar electronic signing softwares.
  • Willingness to learn and is adaptable to changing priorities.
  • Excellent communication skills

  • Experience reviewing and drafting commercial contracts.
  • Experience involving contract management, paralegal services, or other comparable experience in a law firm or legal department or in-house setting.
  • Must be a US Citizen or Permanent Resident.
  • Must be able to pass a Federal background check
  • Must be determined suitable for federal employment.
  • Individuals working for DSS or any Subsidiary will be subject to security and privacy requirements as explained in HIPAA, FedRAMP, and NIST 800-53.
  • Additionally, they are required to undergo specific FedRAMP training to ensure compliance with all associated controls and responsibilities in the day-to-day performance of their duties.
  • Individuals working in departments that are considered to be in the high-risk category will be required to undergo advanced training based on their role and level of access.
  • Individuals with access to modify data and the configuration baseline will require further training.

Responsibilities

  • Contract Template Development | Risk Mitigation | Process Improvement
  • Review, edit, and prepare a variety of agreements including NDAs, Professional Services Agreements, MSAs, Consulting Agreements, License Agreements, and Amendments, in line with company standards.
  • Assist in developing and refining contract templates, clauses, and processes to improve efficiency and mitigate risks.
  • Manage the contract lifecycle process, including contract creation, execution, management, renewal, and termination.
  • Manage requests through workflows - pushing matters along; speaking with submitters as needed to ensure details are correctly captured and addressed.
  • Knowledge of legal and regulatory requirements, including HIPAA and Federal Acquisition Regulations (FAR).
  • Collaborate with internal stakeholders to ensure contract terms align with business objectives.
  • Maintain accurate records of all contracts and related documentation.
  • Monitor contract performance to ensure adherence to terms and conditions.
  • Facilitate communication between parties involved in contract agreements.
  • Work cross-functionally between departments, including but not limited to the legal, information technology, compliance, and finance departments to ensure contracts comply with company policies and legal requirements.
  • Act as the internal point of contact for contract information and answer basic contract questions.
  • Participate in gap assessments, compliance reviews, and other support engagements as needed.
  • Participate in weekly department meetings and daily briefings.
  • Other administrative work required within the department, which includes but is not limited to preparing letters, forms, correspondences, and maintaining corporate registrations in various states.
  • Develop new and enhance existing workflows to drive process improvements and initiatives to track and simplify contract transactions from beginning to end.
  • Assist Compliance and Risk Management Department.
