About The Position

The Contracts & Compliance Manager will lead all aspects of contract administration and regulatory compliance. This role will work closely with US Government agencies, prime defense contractors and internally, with engineering, production and finance leadership to ensure contractual, regulatory and export compliance across the contract lifecycle. Essential Duties and Responsibilities include the following. Other duties may be assigned. Contracts Management: Manage the full lifecycle of US Government, prime contractor and commercial accounts, including proposal review, negotiation, execution, modifications and closeout. Review and negotiate terms and conditions related to pricing, IP rights, delivery schedules, warranties and liability. (does this live in Sales??) Serve as primary point of contact for contracting officers, government program managers and prime contractor representatives. Support proposal development by reviewing contract requirements, compliance matrices and risk assessments. Track contract performance obligations and ensure alignment with internal execution teams. Compliance & Regulatory Oversight: Ensure registration and compliance with applicable US Government regulations, including; FAR and DFARS ITAR and EAR export controls CMMC requirements Terms and Conditions flow-down requirements from prime contractors Develop, implement and maintain internal compliance policies, procedures and training programs. Conduct internal audits and support external audits, reviews and government inquiries. Coordinate export compliance reviews for international customers, partners, and shipments of controlled components. Ensure environmental, state and regional law compliance. Cross-Functional Collaboration: Work closely with internal partners: engineering, production, supply chain and finance to ensure contractual and regulatory requirements are met. Advise leadership in contractual risk, compliance exposure and mitigation strategies. Support subcontractor compliance, including flow-down clauses, NDA’s, and supplier agreements. Risk Management & Continuous Improvement Identify contractual and compliance risks early and recommend practical solutions. Maintain contract and compliance documentation, templates and best practices. Monitor regulatory changes affecting defense, optics and advanced technology sectors.

Requirements

  • Bachelor’s Degree in Business, Law, Contract Management, or related field (advanced degree or JD a plus)
  • 5+ years of experience in contracts and compliance within defense, aerospace, optics or advanced technology sectors.
  • Strong working knowledge of FAR, DFARS and US Government contracting practices.
  • Experience with ITAR/EAR export controls and defense-related compliance frameworks.
  • Proven ability to negotiate complex contracts with government and prime contractors (Do we do this now???)
  • Strong attention to detail, organizational skills, and ability to manage multiple priorities.

Nice To Haves

  • CMMC compliance is preferred.
  • Certification such as CPCM, CFCM or NCMA membership is preferred.
