About The Position

Bray International is seeking a Contract Review Specialist to join their team. This role involves reviewing and revising contracts to improve or eliminate exposure, managing project insurance and surety requirements, and supporting vendor approval processes. The specialist will also assist with non-disclosure/confidentiality agreements, maintain framing and customer supply agreements, and manage applicable document records. Additionally, the role includes negotiating contract terms, providing operational guidance based on contract requirements, coordinating contractual standards with the Compliance group, and documenting contract deviations with legal counsel. A key responsibility is the creation and development of written policies and procedures for standard terms and conditions, as well as research and support for duties assigned by the BII Chief Legal Officer.

Requirements

  • Certified Paralegal or Legal Specialist or equivalent experience in contract analysis.
  • Experience with contract law and legal compliance.
  • 2-3 years of legal experience in support of contract review or manufacturing operations.
  • Must be organized, detail-oriented and able to effectively manage multiple competing priorities, including working independently and presenting management with measurable progress and status of tasks.
  • Able to read lengthy contract and legal documents with proficiency and able to interpret and communicate requirements in a clear and concise manner (both oral and written).
  • Ability to apply discretion and reason in consideration of business operations (with a high level of ethical and legal integrity in exercising independent judgment).
  • Strong interpersonal skills to successfully engage necessary personnel at all organizational levels.

Responsibilities

  • Review and revise contracts, improving or eliminating exposure.
  • Review project insurance and surety requirements and deliver certificates of insurance and bonds.
  • Manage lien waivers.
  • Support the completion and submission of vendor approval documentation.
  • Assist with completing and maintaining standards for non-disclosure/confidentiality agreements through review and negotiation.
  • Maintain framing agreements and customer supply agreements.
  • Manage applicable document records.
  • Negotiate contract terms (as necessary) and give operational guidance based on contract requirements.
  • Coordinate contractual standards and initiatives through coordination with Compliance group, including certain supply chain and data privacy requirements.
  • Participate in documentation of contract deviations with legal counsel and/or executive management.
  • Create and develop written policies and procedures in support of establishing standard terms and conditions for company transactions (including sales and protection of proprietary rights).
  • Research and support for duties as assigned by the BII Chief Legal Officer (as related to related duties of position).
